Impossibility of Performance Sample Clauses

The Impossibility of Performance clause defines the circumstances under which a party is excused from fulfilling contractual obligations due to events that make performance objectively impossible. Typically, this clause applies when unforeseen events—such as natural disasters, changes in law, or other uncontrollable circumstances—prevent one or both parties from carrying out their duties under the contract. Its core function is to allocate risk and provide a fair resolution when neither party is at fault, ensuring that parties are not held liable for failures caused by events beyond their control.
