IN COUNTERPARTS AND BY FACSIMILE. This Agreement may be executed and delivered in two or more counterparts, each of which, when so executed and delivered, shall be an original, but such counterparts shall together constitute one and the same instrument and Agreement. This Agreement shall be deemed to be executed as of July 12, 1999. The Parties agree that this Agreement can be executed and delivered by facsimile and facsimile signatures are hereby agreed to be legally binding.
