Common use of Indemnification by Customer Clause in Contracts

Indemnification by Customer. Customer agrees, at its own expense, to indemnify, defend, and hold harmless Amergis and its parent, subsidiaries, affiliates, directors, officers, employees, and agents against any and all third-party losses, liabilities, judgments, awards, and costs (including reasonable attorneys’ fees and expenses) to the extent arising out of or relating to: (a) bodily injury (including death) or any real or tangible property loss or damage as a direct result of Customer’s employees’ negligent acts or omissions in the performance of Services under this Agreement; or (b) any Transaction Taxes levied, assessed, or imposed by any taxing authority as a result of, or in connection with this Agreement, whatever the source and regardless of whether invoiced to or remitted by Customer.

Customer agrees, at its own expense, to indemnify, defend, and hold harmless Amergis Maxim and its parent, subsidiaries, affiliates, directors, officers, employees, and agents against any and all third-party losses, liabilities, judgments, awards, and costs (including reasonable attorneys’ fees and expenses) to the extent arising out of or relating to: (a) bodily injury (including death) or any real or tangible property loss or damage as a direct result of Customer’s employees’ negligent acts or omissions in the performance of Services under this Agreement; or (b) any Transaction Taxes levied, assessed, or imposed by any taxing authority as a result of, or in connection with this Agreement, whatever the source and regardless of whether invoiced to or remitted by Customer.
