Common use of Indemnification by Licensor Clause in Contracts

Indemnification by Licensor. Licensor hereby agree to indemnify, hold harmless and defend Licensee and its officers, directors, employees and agents against any and all liability, damages, judgments, awards or cost of defend (including without limitation reasonable attorney's fees, expert witness fees and costs to defend and amounts paid in settlement of any action ) resulting from any claim or claims by a Third Party arising out of or related to the subject matter of this Agreement and to the extent caused by the action or inaction of Licensor or any person or entity for which Licensor is responsible.

Indemnification by Licensor. Licensor LICENSOR hereby agree to indemnify, hold harmless and defend Licensee LICENSEE and its officers, directors, directors and employees and agents against any and all liability, damages, judgments, awards or cost of defend (including without limitation reasonable attorney's fees, expert witness fees and costs to defend and amounts paid in settlement of any action ) resulting from any claim or claims by a Third Party arising out of or third parties related to and/or arising under the subject matter of this Agreement and to the extent caused by the action or inaction of Licensor LICENSOR or any person or entity party for which Licensor LICENSOR is responsible.

Licensor hereby agree to at all times shall defend, indemnify, and hold harmless and defend Licensee and its officersAffiliates, directorsand its and their employees, employees agents, successors, and agents assigns, from and against any all claims, actions, damages and all liabilitylosses, damagesliabilities, judgmentsand expenses, awards or cost of defend (including without limitation reasonable attorney's attorneys’ fees, expert witness fees and costs to defend and amounts paid in settlement arising out of, or caused by any breach of any action ) resulting from any claim or claims of the representations, warranties, covenants, undertakings, and agreements made by a Third Party arising out of or related to the subject matter of this Agreement and to the extent caused by the action or inaction of Licensor or any person or entity for which Licensor is responsiblehereunder.

Indemnification by Licensor. Licensor hereby agree to indemnify, assumes sole and complete responsibility for and will indemnify and hold harmless and defend Licensee and its officersAffiliates against and from all payments of money, directorsincluding those with respect to fines, employees and agents against any and all liabilitypenalties, taxes, losses, damages, judgmentscosts, awards or cost of defend expenses (including without limitation reasonable attorney's attorney fees, expert witness fees investigation expenses, court costs, deposition expenses, and costs to defend travel and amounts paid in settlement living expenses) by reason of any claim, cause of action ) resulting from any claim or claims by a Third Party arising out of or related to the subject matter of this Agreement and to the extent demand caused by the action Licensor's negligence or inaction of Licensor or any person or entity for which Licensor is responsiblewillful misconduct.

Indemnification by Licensor.
