Indemnifying Party Defense. If the Indemnifying Party elects to conduct the defense of any Third Party Claim, it shall handle such defense with diligence and care, and with the objective of no further losses being incurred. In this case, the Indemnified Party shall collaborate, in the manner which is reasonably required, in this defense or suit.
