Third Party Claim Sample Clauses

A Third Party Claim clause outlines the procedures and responsibilities when a claim or legal action is brought against one party by an external entity, typically relating to the subject matter of the contract. This clause usually requires the party receiving the claim to promptly notify the other party, and may specify how defense, settlement, and cooperation are to be handled. Its core function is to ensure both parties are aware of and can coordinate responses to external legal threats, thereby managing risk and clarifying obligations in the event of third-party disputes.
