Common use of Information and Advice Clause in Contracts

Information and Advice. Each Seller confirms that it has received or has had access to the information it considers necessary or appropriate to make an informed decision with respect to this Agreement and the Consideration Shares received by it hereunder. The Sellers further confirm that each has had an opportunity to ask questions and receive answers from the Buyer regarding the Buyer’s business, management and financial affairs and to obtain additional information (to the extent the Buyer possessed such information or could acquire it without unreasonable effort or expense) necessary to verify any information furnished to the Sellers or to which the Sellers had access.

Information and Advice. Each Seller confirms that it he has received or has had full access to all the information it he considers necessary or appropriate to make an informed decision with respect to this Agreement and the Consideration Shares received by it him hereunder. The Sellers Each Seller further confirm confirms that each he has had an opportunity to ask questions and receive answers from the Buyer Purchaser regarding the BuyerPurchaser’s business, management and financial affairs and to obtain additional information (to the extent the Buyer Purchaser possessed such information or could acquire it without unreasonable effort or expense) necessary to verify any information furnished to the Sellers such Seller or to which the Sellers such Seller had access.
