Information Exchanges. Subject to applicable law and good faith claims of privilege, each Party hereto shall provide the other Party with all information regarding itself and the transactions contemplated by this Agreement that the other Party reasonably believes are required to comply with all applicable laws, ordinances, regulations and codes in connection with the provision of Transition Services pursuant to this Agreement.
Information Exchanges. 12.1. Parties to this Contract shall exchange information pertaining to the provision of transmission services in accordance with the procedure and within such time frames as set out in the Access Rules.
12.2. By entering into this Contract System User agrees to enter into an contract for the access to the electronic service booking and management system operated by TSO.
Information Exchanges. In order to continue interconnection of the Distribution System and Transmission System, each Party shall promptly provide the other Party with all relevant information, documents, or data regarding the Distribution System and the Transmission System that would be reasonably expected to affect the Distribution System or Transmission System and is reasonably requested by ERO, RRO, Reliability Coordinator, RTO or any Governmental Authority.

Each Party agrees to use its reasonable best efforts not to access such information. Upon request of either Party, the other Party shall promptly return and/or destroy any copies of any reports, data, or other information relating to the requesting Party.

In addition to the foregoing information, each party shall, and shall cause its Affiliates to, afford the other party, upon reasonable advance notice, reasonable access during normal business hours to the facilities, Information, systems, infrastructure and personnel of such party and its Affiliates as reasonably necessary for the applicable recipient of Services to verify the adequacy of internal controls over information technology, reporting of financial data and related processes employed in connection with the Services being provided by any Service Provider, including in connection with verifying compliance with Section 404 of the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002; provided that (i) such access shall not unreasonably interfere with any of the business or operations of the Service Provider or any of their respective Affiliates and (ii) in the event that the Service Provider determines that providing such access could be commercially detrimental, violate any Law or agreement, or waive any attorney-client privilege, then the parties shall use commercially reasonable efforts to permit such access in a manner that avoids any such harm or consequence.
Information Exchanges. Information disclosed under this Agreement may include technical data, know-how, software specifications, software performance, or any other information relevant to the performance of this Agreement. All communications between the parties are subject to the terms and conditions of the Confidential Non Disclosure Agreement, reference 01344A2000GRUP, entered into by the parties on November 14, 2000.
Information Exchanges. In accordance with Article 9 of the Agreement, the Parties shall in particular exchange the information referred to in Article 8 of Directive 90/385/EEC and in Article 10 of Directive 93/42/EEC.

Information Exchanges. In accordance with Article 9 of the Agreement, the Parties shall in particular exchange the information referred to in Article 8 of Directive 90/385/EEC and in Article 10 of Directive 93/42/EEC.
SECTION I LEGISLATIVE, REGULATORY AND ADMINISTRATIVE PROVISIONS
Information Exchanges. 2.10.1. For any SBCT subscriber Sprint shall provide, subject to Applicable Rules SBCT with access CPNI without requiring SBCT to produce a signed LOA, based on SBCT’s blanket representation that subscriber has authorized SBCT to obtain such CPNI.
2.10.1.1. The preordering Electronic Interface includes the provisioning of CPNI from Sprint to SBCT. The Parties agree to execute a LOA agreement with the Sprint end user prior to requesting CPNI for that Sprint end user, and to request end user CPNI only when the end user has specifically given permission to receive CPNI. The Parties agree that they will conform to FCC and/or state regulations regarding the provisioning of CPNI between the Parties, and regarding the use of that information by the requesting Party.
Information Exchanges. Subject to applicable law and good faith claims of attorney-client privilege, TDK, on the one hand, and Imation, on the other hand, shall provide the other with all information that the requesting Party reasonably believes is required to comply with all applicable laws, ordinances, regulations and codes in connection with the provision of Services hereunder.
