As of the date hereof, there are no other Members of the Company and no other person (other than Preferred and ▇▇▇▇▇▇ acting pursuant to delegated authority as contemplated by Section 6.3 and 8.4 respectively) has any right to take part in the management (except as contemplated in the second and fourth recitals to this Agreement) or ownership of the Company.
