Common use of Installation Waiver Clause in Contracts

Installation Waiver. Company will waive the one-time installation charges associated with the implementation of Services within the 48 contiguous States of the U.S. provided under this Agreement except for the following services: (i) eDSL, (ii) VPN, (iii) Internet Dedicated OC3, OC12, OC48, Gig-E, (iv) PTT / third party services (including International Access and Company International), (v) Data Center, (vi) Paging, (vii) Managed Services, (viii) CPE, (ix) Enhanced Call Routing, (x) Local Disaster Recovery, (xi) Audio, Video and Net Conferencing, (xii) Voice over IP Services, (xiii) Security Services, (xiv) Non-Listing/Non-Published Service, (xv) Telecommunications Service Priority, and (xvi) Services provided by Company incumbent local exchange carriers (“ILECs”) or by Cellco Partnership and its affiliates d/b/a Company Wireless. Usage charges, monthly recurring charges, expedite charges, change charges, surcharges, charges for an unlisted or non-published number, any charges imposed by third parties (including access, egress, jack, or wiring charges), taxes or tax-like surcharges, or other Governmental Charges will not be waived. Alternate Routing Waiver. The Company will waive all 800 service Alternate Routing Feature charges associated with the implementation and maintenance of Alternate Routing plans for Customer’s 800 service charges. If this amount exceeds $12,300 the Company reserves the right to charge the Customer for the overage amount exceeding $12,300.

Company Supplier will waive the one-time installation charges associated with the implementation of Services within the 48 contiguous States of the U.S. provided under this Agreement Agreement; except for the following services: (i) eDSL, (ii) VPN, (iii) Internet Dedicated OC3, OC12, OC48, Gig-E, (iv) PTT / third party services (including International Access and Company Supplier International), (v) Data Center, (vi) Paging, (vii) Managed Services, (viii) CPE, (ix) Contact Center Services (ICR-I) (x) Enhanced Call Routing, (xxi) Local Disaster Recovery, (xi) Audio, Video Video, and Net Conferencing, (xiixiii) Voice over IP Services, (xiiixiv) Security Services, (xivxv) Non-Listing/Non-Published Service, (xvxvi) Telecommunications Service Priority, and (xvixvii) Services provided by Company Supplier incumbent local exchange carriers (“ILECs”) or by Cellco Partnership and its affiliates d/b/a Company Supplier Wireless. In addition, Supplier will waive the one-time installation charges associated with U.S.-billed International Private IP Service ports and CARs (International Access charges are not waived). Usage charges, monthly recurring charges, expedite charges, change charges, surcharges, charges for an unlisted or non-published number, any charges imposed by third parties (including access, egress, jack, or wiring charges), taxes or tax-like surcharges, or other Governmental Charges will not be waived. Alternate Routing Waiver. The Company will waive all 800 service Alternate Routing Feature charges associated with the implementation and maintenance of Alternate Routing plans for Customer’s 800 service charges. If this amount exceeds $12,300 the Company reserves the right to charge the Customer for the overage amount exceeding $12,300.

Alternate Routing Waiver. The Company will waive Qualifying Condition: Customer represents that it has spent at least $150,000.00 in Conferencing usage with all 800 service Alternate Routing Feature charges associated with vendors combined in the implementation and maintenance of Alternate Routing plans for two calendar months immediately preceding Customer’s 800 service chargessignature date of the seventh amendment. If this amount exceeds $12,300 the Payment Arrangements: Customer agrees to pay all Company reserves the right to charge the Customer for the overage amount exceeding $12,300.charges (except disputed amounts) within 30 days of receipt of invoice. Initial Term: 15 months

Alternate Routing Real Time ANI Waiver. : The Company will waive all 800 service the per-call ANI delivery charge. Toll Free Alternate Routing Services Waiver: The Company will waive the monthly recurring charge for Toll Free Alternate Routing Feature charges associated with the implementation and maintenance of Alternate Routing plans for Customer’s 800 service charges. If this amount exceeds $12,300 the Company reserves the right to charge the Customer for the overage amount exceeding $12,300Service.

Alternate Routing WaiverTerm and Renewal Options: 36 months Commencing on the 4th Amendment Effective Date, the Term will be extended for a period of 24 months. The Company will waive all 800 service Alternate Routing Feature charges associated with Minimum Annual Volume Commitment (“AVC”): $192,000.00 in Total Service Charges Commencing on the implementation and maintenance of Alternate Routing plans for 4th Amendment Effective Date, the Customer’s 800 service charges. If this amount exceeds minimum AVC will be $12,300 the Company reserves the right to charge the Customer 400,000.00 in Total Service Charges, or a pro rata portion thereof for the overage amount exceeding $12,300any partial Contract Year.
