Common use of Installation Clause in Contracts

Installation. Except as otherwise provided below, this plan includes standard professional installation of up to 6 receivers to up to 6 TVs, a DISH 500 antenna (or other applicable antenna, as determined by DISH) and mounting hardware. If you reside in a Shared Dish MDU Property, then you will not receive, and this plan does not include, standard professional installation of an antenna and/or mounting hardware. Additional equipment may be required and additional prices, fees and charges may apply in certain installations or with certain programming purchases. Maximum of 6 leased receivers (supporting up to 6 total TVs) per account. RESIDENTS OF ALASKA ONLY: IN THE EVENT THAT DISH DETERMINES THAT YOU ARE A RESIDENT OF A REMOTE AREA OF ALASKA (“REMOTE AREA”), THEN YOU ACKNOWLEDGE AND AGREE THAT: (A) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL FURNISH, OR HAVE ANY OBLIGATION TO FURNISH, ANY INSTALLATION SERVICES TO YOU AT ANY TIME; (B) YOU ARE SOLELY RESPONSIBLE FOR INSTALLING ANY AND ALL LEASED EQUIPMENT (INCLUDING, WITHOUT LIMITATION, RECEIVER(S), SMART CARD(S), REMOTE CONTROL(S) AND LNBF(S)); (C) YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL RISKS ASSOCIATED WITH AND RESULTS OF SUCH INSTALLATION (INCLUDING, WITHOUT LIMITATION, RECURRING MATERIAL INTERFERENCE OF SIGNAL RECEPTION, LIMITATIONS TO THE QUALITY OR USABILITY OF YOUR DISH SERVICE, PERSONAL INJURY AND DAMAGE TO THE LEASED EQUIPMENT); (D) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL AT ANY TIME CONDUCT ANY IN-HOME SERVICE CALLS FOR YOU; AND (E) THE FOREGOING DOES NOT RELIEVE YOU OF ANY OF YOUR OBLIGATIONS PURSUANT TO THIS AGREEMENT.

Installation. Customer agrees to pay hourly for installation services as defined in Annex 1 and includes, as it relates to the Customer Equipment, PDUs, and any other Customer-provided materials (e.g., the fire detection and alarm system, specific air filtration equipment, single phase liquid cooling units, etc.): ● unpacking; ● labelling; ● positioning in the Racks; ● installation and management of cables (power and LAN connection); ● inventorization and inventory management; ● installation of the Hardware Control Software and Power Firmware, if applicable; ● initial setting; ● disposal of packing materials; and ● installation of any Customer-provided fencing or other physical security devices that are agreed by the Parties Installation does not include the provision or installation of any software other than the Hardware Control Software. In certain cases, a particular Hardware Unit may require an update to its firmware (as determined and designated by the manufacturer thereof). In such case, Provider will apply such firmware update in accordance with the instructions provided by such manufacturer. CUSTOMER ▇▇▇▇▇▇ AGREES THAT PROVIDER SHALL HAVE NO LIABILITY OF ANY KIND FOR, AND DOES HEREBY WAIVE AND RELEASE ANY CLAIM IN CONNECTION WITH, ANY DAMAGE TO ANY HARDWARE UNIT, ANY SOFTWARE OR FIRMWARE INSTALLED THEREON, OR ANY MANUFACTURER WARRANTY RIGHTS RELATING THERETO (INCLUDING ANY VOIDED WARRANTIES) ARISING OUT OF OR RESULTING FROM THE APPLICATION OF ANY SUCH MANUFACTURER-PROVIDED FIRMWARE UPDATE OR THE POWER FIRMWARE. IT IS THE EXPRESS INTENT OF THE PARTIES THAT THE FOREGOING APPLY EVEN IN RESPECT OF PROVIDER’S NEGLIGENCE. The installation of any individual Hardware Unit is deemed completed when such Hardware Unit connects and sends computations to the Customer-designated Mining Pool. If Customer has not designated a Mining Pool, installation will be deemed complete when the applicable Hardware Unit powers up without fault (it being understood that in no event will Provider be required or requested to select a Mining Pool on Customer’s behalf). In the case of faulty Hardware Units, installation is completed when Provider diagnoses the fault and provides a report to Customer. Except as may otherwise provided below, this plan includes standard professional installation of up to 6 receivers to up to 6 TVs, a DISH 500 antenna (or other applicable antenna, as be determined by DISH) and mounting hardware. If you reside Provider in a Shared Dish MDU Propertyits sole discretion, then you will Customer shall not receivehave any rights to install, and this plan does not includeuninstall, standard professional installation of an antenna and/or mounting hardware. Additional equipment may be required and additional prices, fees and charges may apply or otherwise physically access any Hardware Units in certain installations or with certain programming purchases. Maximum of 6 leased receivers (supporting up to 6 total TVs) per account. Installation. Except as otherwise provided below, this plan includes standard professional Installation shall include: ● unpacking; ● labelling; ● positioning in the Immersion Tanks; ● installation and management of cables (power and LAN connection); ● inventory management; ● installation of up any Power Firmware, if applicable; ● hardware modifications necessary for immersion and maximum overclocking, including without limitation removal of fans from Bitcoin Miners; ● configuring Mining Pool notifications; ● initial setting; and ● disposal of packing materials which will not be stored nor returned to 6 receivers the customer. Installation does not include any testing before being modified to up to 6 TVsbe placed in Immersion Tanks nor the provision or installation of any software other than as expressly stated above. In certain cases, a DISH 500 antenna (or other applicable antennaparticular Hardware Unit may require an update to its firmware. In such case, as determined Provider will apply such firmware update in accordance with the instructions provided by DISH) and mounting hardwarePower Firmware supplier. If you reside in a Shared Dish MDU PropertyEXCEPT AS OTHERWISE PROVIDED IN THIS AGREEMENT, then you will not receive, and this plan does not include, standard professional installation of an antenna and/or mounting hardware. Additional equipment may be required and additional prices, fees and charges may apply in certain installations or with certain programming purchases. Maximum of 6 leased receivers (supporting up to 6 total TVs) per account. RESIDENTS OF ALASKA ONLY: CUSTOMER ▇▇▇▇▇▇ AGREES THAT IN THE EVENT THAT DISH DETERMINES THAT YOU ARE A RESIDENT ABSENCE OF A REMOTE AREA PROVIDER’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, PROVIDER SHALL HAVE NO LIABILITY OF ALASKA (“REMOTE AREA”)ANY KIND FOR, THEN YOU ACKNOWLEDGE AND AGREE THAT: (A) NEITHER DISH NOR DOES HEREBY WAIVE AND RELEASE ANY OF DISH’S RETAILERS WILL FURNISHCLAIM IN CONNECTION WITH, ANY DAMAGE TO ANY HARDWARE UNIT, ANY SOFTWARE OR FIRMWARE INSTALLED THEREON, OR HAVE ANY OBLIGATION TO FURNISH, MANUFACTURER WARRANTY RIGHTS RELATING THERETO (INCLUDING ANY INSTALLATION SERVICES TO YOU AT VOIDED WARRANTIES) ARISING OUT OF OR RESULTING FROM THE APPLICATION OF ANY TIME; (B) YOU ARE SOLELY RESPONSIBLE FOR INSTALLING ANY SUCH MANUFACTURER-PROVIDED FIRMWARE UPDATE OR THE POWER FIRMWARE. IT IS THE EXPRESS INTENT OF THE PARTIES THAT THE FOREGOING APPLY EVEN IN RESPECT OF PROVIDER’S ORDINARY NEGLIGENCE. CUSTOMER FURTHER ACKNOWLEDGES THAT THE SUBMERSION OF CUSTOMER EQUIPMENT IN IMMERSION TANKS IS A RELATIVELY UNTESTED TECHNOLOGY AND ALL LEASED EQUIPMENT (INCLUDING, WITHOUT LIMITATION, RECEIVER(S), SMART CARD(S), REMOTE CONTROL(S) AND LNBF(S)); (C) YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL RISKS ASSOCIATED WITH AND RESULTS THERE IS A RISK OF SUCH INSTALLATION (INCLUDING, WITHOUT LIMITATION, RECURRING MATERIAL INTERFERENCE OF SIGNAL RECEPTION, LIMITATIONS TO THE QUALITY OR USABILITY OF YOUR DISH SERVICE, PERSONAL INJURY AND DAMAGE TO THE LEASED CUSTOMER EQUIPMENT, OR DELAY IN THE BEGINNING OF THE HOSTING SERVICES, DUE TO NEEDS TO ADAPT THE CUSTOMER EQUIPMENT TO THE IMMERSION TANKS ENVIRONMENT. The installation of any individual Hardware Unit is deemed completed when such Hardware Unit connects and sends computations to the Customer Mining Pool. In the case of faulty Hardware Units, installation is completed when Provider diagnoses the fault and provides a report to Customer. Except as may otherwise be determined by Provider in its sole discretion, Customer shall not have any rights to install, uninstall, or otherwise physically or digitally access any Hardware Units in the Facility. Customer shall provide all of the Customer Equipment in the amount specified in Section 1.1 above (the “Initial Customer Equipment”) to the Provider no later than February 28, 2023 (the “Miner Delivery Date”); (D) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL AT ANY TIME CONDUCT ANY IN-HOME SERVICE CALLS FOR YOU; AND (E) THE FOREGOING DOES NOT RELIEVE YOU OF ANY OF YOUR OBLIGATIONS PURSUANT TO THIS AGREEMENT. Furthermore, if the Initial Customer Equipment has not been delivered to Provider by the date that is 30 days following the Miner Delivery Date, then the Provider shall have a termination right in accordance with Section 17.1.6 below.

Installation. Except as otherwise provided belowThe installation, this plan includes standard professional installation use, inspection, maintenance and repair of the Equipment may result in service outage. You are solely responsible for backing up all of your existing computer files and data. Optistreams and its employees, agents, contractors, and representatives shall have no liability whatsoever for any damage to 6 receivers to up to 6 TVsor loss or destruction of any of your hardware, a DISH 500 antenna (software, files, data, or other applicable antenna, as determined by DISH) and mounting hardwareperipherals. If you reside in are an end user and are unable to coordinate a Shared Dish MDU Property, then you will not receive, and this plan does not include, standard professional installation by a certified satellite installer, you have the option to purchase a professional installation from Optistreams Technologies. You will be responsible for all costs associated with the installation, which will be listed on a Customer Order Form. Non-standard installations will incur additional costs. A description of an antenna and/or mounting hardware. RESIDENTS OF ALASKA ONLY: IN THE EVENT THAT DISH DETERMINES THAT YOU ARE A RESIDENT OF A REMOTE AREA OF ALASKA (“REMOTE AREA”), THEN YOU ACKNOWLEDGE AND AGREE THAT: (A) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL FURNISHWARRANT, OR COVENANT THAT INSTALLATION BY YOU OR A THIRD PARTY CHOSEN BY YOU WILL ENABLE YOU TO SUCCESSFULLY ACCESS, OPERATE, OR USE THE SERVICES, NOR THAT SUCH INSTALLATION WILL NOT CAUSE DAMAGE TO YOUR COMPUTER, DATA, SOFTWARE, FILES, OR PERIPHERALS. IN ADDITION, OPTISTREAMSSHALL HAVE NO LIABILITY WHATSOEVER FOR ANY OBLIGATION DAMAGE, OR FOR THE FAILURE TO FURNISHPROPERLY INSTALL, ANY INSTALLATION ACCESS, USE, OR OPERATE THE EQUIPMENT OR SERVICES BECAUSE OF YOUR INSTALLATION. THE FOREGOING LIMITATION OF LIABILITY IS IN ADDITION TO YOU AT ANY TIME; (B) YOU ARE SOLELY RESPONSIBLE FOR INSTALLING AND SHALL IN NO WAY BE CONSTRUED TO LIMIT ANY AND ALL LEASED EQUIPMENT (INCLUDING, WITHOUT LIMITATION, RECEIVER(S), SMART CARD(S), REMOTE CONTROL(S) AND LNBF(S)); (C) YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL RISKS ASSOCIATED WITH AND RESULTS LIMITATIONS OF SUCH INSTALLATION (INCLUDING, WITHOUT LIMITATION, RECURRING MATERIAL INTERFERENCE OF SIGNAL RECEPTION, LIMITATIONS TO THE QUALITY OR USABILITY OF YOUR DISH SERVICE, PERSONAL INJURY AND DAMAGE TO THE LEASED EQUIPMENT); (D) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL AT ANY TIME CONDUCT ANY IN-HOME SERVICE CALLS FOR YOU; AND (E) THE FOREGOING DOES NOT RELIEVE YOU OF ANY OF YOUR OBLIGATIONS PURSUANT TO LIABILITY SET FORTH ELSEWHERE IN THIS AGREEMENT. Optistreams will make its best effort to provide the Service. Because of the complex nature of satellite, broadband services, availability, and the underlying infrastructure, it may not be possible to provide the Service to everyone. In its sole discretion, Optistreams may cancel the installation process and refund any money that you have paid. Optistreams will notify you of its intent to cancel as soon as reasonably possible. Optistreams shall have no responsibility whatsoever for claims arising out of its failure or refusal to complete the installation or provide the Service.

Installation. Except The Product must be installed strictly as otherwise provided below, this plan includes standard professional in the installation guide supplied with the Product. You are responsible for obtaining the proper installation of up to 6 receivers to up to 6 TVsthe Product in the Monitored Vehicle in accordance with this Section. YOU UNDERSTAND AND AGREE THAT COMPANY IS NOT RESPONSIBLE FOR, a DISH 500 antenna (or other applicable antennaSHALL HAVE NO OBLIGATIONS WITH RESPECT TO, as determined by DISH) and mounting hardwareAND SHALL HAVE NO LIABILITY FOR, A PRODUCT NOT INSTALLED IN ACCORDANCE WITH THIS SECTION. If you reside request, Company shall install the Products on your vehicles as requested by you (the “Installation Services”). Company hereby warrants to you that the Installation Services will be performed in a Shared Dish MDU Property, then you professional and workmanlike manner and will not receive, be free from defects in material and this plan does not include, standard professional workmanship for a period of ninety (90) days from the time of installation of an antenna and/or mounting hardware. Additional equipment may be required and additional prices, fees and charges may apply in certain installations or with certain programming purchases. Maximum of 6 leased receivers (supporting up to 6 total TVs) per account. RESIDENTS OF ALASKA ONLY: IN THE EVENT THAT DISH DETERMINES THAT YOU ARE A RESIDENT OF A REMOTE AREA OF ALASKA (the “REMOTE AREAInstallation Warranty”). Company will use its best efforts to diligently and timely perform the Installation Services. RE-INSTALLATION OF AN IMPROPERLY INSTALLED PRODUCT IS YOUR SOLE AND EXCLUSIVE REMEDY UNDER THE INSTALLATION WARRANTY. COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, THEN YOU ACKNOWLEDGE AND AGREE THAT: (A) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL FURNISHINDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR HAVE ANY OBLIGATION TO FURNISH, ANY EXEMPLARY DAMAGES FOR BREACH OF THE INSTALLATION SERVICES TO YOU AT ANY TIME; (B) YOU ARE SOLELY RESPONSIBLE FOR INSTALLING ANY AND ALL LEASED EQUIPMENT (INCLUDING, WITHOUT LIMITATION, RECEIVER(S), SMART CARD(S), REMOTE CONTROL(S) AND LNBF(S)); (C) YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL RISKS ASSOCIATED WITH AND RESULTS OF SUCH INSTALLATION (INCLUDING, WITHOUT LIMITATION, RECURRING MATERIAL INTERFERENCE OF SIGNAL RECEPTION, LIMITATIONS WARRANTY. TO THE QUALITY MAXIMUM EXTENT PERMITTED BY LAW, COMPANY EXPRESSLY DISCLAIMS, AND YOU EXPRESSLY WAIVE, ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED, OR USABILITY STATUTORY, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OF YOUR DISH SERVICEMERCHANTABILITY, PERSONAL INJURY AND DAMAGE FITNESS FOR A PARTICULAR PURPOSE OR USE, OR ANY WARRANTY ARISING OUT OF ANY PROPOSAL, SPECIFICATION, OR SAMPLE. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES AND/OR DO NOT ALLOW LIMITATIONS ON THE AMOUNT OF TIME AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THE TERM OF ANY IMPLIED WARRANTIES THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW SHALL BE LIMITED TO THE LEASED EQUIPMENT); (D) NEITHER DISH NOR ANY DURATION OF DISH’S RETAILERS WILL AT ANY TIME CONDUCT ANY IN-HOME SERVICE CALLS FOR YOU; AND (E) THE FOREGOING DOES NOT RELIEVE LIMITED WARRANTY PERIOD. THIS LIMITED WARRANTY GIVES YOU OF ANY OF YOUR OBLIGATIONS PURSUANT SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHER RIGHTS WHICH VARY FROM STATE TO THIS AGREEMENTSTATE.

Maximum of 6 leased receivers (supporting up to 6 HD TVs and up to 12 total TVs) per account. ▇▇▇▇▇▇ and ▇▇▇▇▇▇ with Sling installation includes up to 6 leased receivers for up to 6 TVs (supporting up to 6 HD TVs) per account. In the event you purchased the WOLFTRAXS GPS as part of the purchase of a vehicle, this plan includes standard professional the Dealer is responsible for the proper installation of up to 6 receivers to up to 6 TVsthe WOLFTRAXS GPS system in the vehicle in accordance with the installation recommendation. You understand and agree that ADI is not responsible for, shall have no obligations to, and shall have no liability for, a DISH 500 antenna WOLFTRAXS GPS system not installed in accordance with the installation guide or installed by an approved WOLFTRAXS GPS installation service approved by ADI. You agree that the liability of ADI, the Wireless Carrier (or other applicable antenna, as determined by DISHdefined below) and mounting hardwareany third party Servicing Company (as defined below) is limited in accordance with, ADI, the Wireless Carrier and any third party Servicer liability provisions. If you reside in a Shared Dish MDU Property, then you will not receive, and this plan does not include, standard professional installation of an antenna and/or mounting hardware. Additional equipment may be required and additional prices, fees and charges may apply in certain installations or with certain programming purchases. Maximum of 6 leased receivers (supporting up to 6 total TVs) per account. RESIDENTS LIMITATION OF ALASKA ONLY: IN THE EVENT THAT DISH DETERMINES THAT YOU ARE A RESIDENT OF A REMOTE AREA OF ALASKA (“REMOTE AREA”), THEN YOU ACKNOWLEDGE AND AGREE THAT: (A) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL FURNISH, OR HAVE ANY OBLIGATION TO FURNISH, ANY INSTALLATION SERVICES LIABILITY - ADI SHALL NOT BE LIABLE TO YOU AT OR ANY TIME; (B) YOU ARE SOLELY RESPONSIBLE OTHER PERSON FOR INSTALLING ANY GENERAL, DIRECT, SPECIAL, INCIDENTAL, LOST PROFITS, AND ALL LEASED EQUIPMENT (EXEMPLARY, PUNITIVE AND/OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THE SERVICES, INCLUDING, WITHOUT LIMITATION, RECEIVER(S)LOSS OF PROFIT OR REVENUES, SMART CARD(S)LOSS OF USE, REMOTE CONTROL(S) LOSS OF DATA, INCORRECT OR CORRUPTED DATA, COST OF CAPITAL, COST OF SUBSTITUTE GOODS, FACILITIES, SERVICES OR REPLACEMENT POWER, DOWNTIME COST, OR CLAIMS FOR SUCH DAMAGES, EVEN IF ADI KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING OR ANY OTHER LIMITATION OF LIABILITY HEREIN, REGARDLESS OF THE FORM OF ACTION, WHETHER FOR BREACH OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT OR OTHERWISE, YOUR EXCLUSIVE REMEDY AND LNBF(S)); (C) YOU ARE SOLELY RESPONSIBLE THE TOTAL LIABILITY OF ADI AND/OR ANY SUPPLIER OF SERVICES TO ADI ARISING IN ANY WAY IN CONNECTION WITH THIS AGREEMENT, FOR ANY AND ALL RISKS ASSOCIATED WITH AND RESULTS CAUSE WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY FAILURE OR DISRUPTION OF SUCH INSTALLATION (INCLUDINGTHE SERVICES, WITHOUT LIMITATION, RECURRING MATERIAL INTERFERENCE SHALL BE LIMITED TO PAYMENT BY ADI OF SIGNAL RECEPTION, LIMITATIONS DAMAGES IN AN AMOUNT EQUAL TO THE QUALITY OR USABILITY OF YOUR DISH SERVICE, PERSONAL INJURY AMOUNT CHARGED TO YOU FOR THE PRODUCT AND DAMAGE TO THE LEASED EQUIPMENT); (D) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL AT ANY TIME CONDUCT ANY IN-HOME SERVICE CALLS FOR YOU; AND (E) THE FOREGOING DOES NOT RELIEVE YOU OF ANY OF YOUR OBLIGATIONS PURSUANT TO SERVICES PROVIDED UNDER THIS AGREEMENT.

RESIDENTS ▇▇▇▇▇▇, ▇▇▇▇▇▇ with Sling and ▇▇▇▇▇▇ 3 installation includes up to 6 leased receivers for up to 6 total TVs per account. CUSTOMERS OF ALASKA ONLY: IN THE EVENT THAT DISH DETERMINES THAT YOU ARE A RESIDENT OF LOCATED IN A REMOTE AREA OF ALASKA (“REMOTE AREA”), THEN YOU ACKNOWLEDGE AND AGREE THAT: (A) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL FURNISH, OR HAVE ANY OBLIGATION TO FURNISH, ANY INSTALLATION SERVICES TO YOU AT ANY TIME; (B) YOU ARE SOLELY RESPONSIBLE FOR INSTALLING ANY AND ALL LEASED EQUIPMENT (INCLUDING, WITHOUT LIMITATION, RECEIVER(SRECEIVER( S), SMART CARD(S), REMOTE CONTROL(S) AND LNBF(S)); (C) YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL RISKS ASSOCIATED WITH AND RESULTS OF SUCH INSTALLATION (INCLUDING, WITHOUT LIMITATION, RECURRING MATERIAL INTERFERENCE OF SIGNAL RECEPTION, LIMITATIONS TO THE QUALITY OR USABILITY OF YOUR DISH SERVICE, PERSONAL INJURY AND DAMAGE TO THE LEASED EQUIPMENT); (D) NEITHER DISH NOR ANY OF DISH’S RETAILERS WILL AT ANY TIME CONDUCT ANY INON-HOME SITE SERVICE CALLS FOR YOU; AND (E) THE FOREGOING DOES NOT RELIEVE YOU OF ANY OF YOUR OBLIGATIONS PURSUANT TO THIS AGREEMENT.
