INTENT TO COLLABORATE. The Parties hereby agree to enter into this Agreement to set forth the terms and conditions of their collaboration to innovate, and leverage their collectively experience and intellectual property to develop and create, a PPG based wrist wearable device that delivers a unique combination of clinical and lifestyle related health metrics, insights, and solutions to users, as well as to set forth the Parties’ mutual understanding and agreement with respect to marketing and commercialization of such product and related services. Such wearable device will be commercialized as “CONNEQT Band” (“CT Band”). Each of CONNEQT and LifeQ will contribute certain health parameters into the CT Band and deliver such parameters (or parts thereof) to users through a CONNEQT mobile application (“CT Mobile App”), which is to be developed by CONNEQT with input from LifeQ. Access to the LifeQ mobile application or components thereof will also be provided.
INTENT TO COLLABORATE. The Parties acknowledge and agree that each Party has entered into this Agreement for the purpose of engaging in collaborative efforts and business arrangements intended to be mutually beneficial to each Party and its respective Affiliates. Consistent with and for the express purpose of carrying out the foregoing, each Party shall have the rights and obligations set forth in this Agreement. Except as expressly set forth in this Agreement or any exhibit hereto, the arrangements set forth herein shall be non-exclusive and each Party shall be free to contract and associate with other parties for similar arrangements. For purposes of this Agreement, (a) an “Affiliate” of a Person shall mean any Person directly or indirectly Controlling, Controlled by, or under common Control with such Person, (b) “Control” (including its correlative meanings “under common Control with” and “Controlled by”), with respect to any Person, means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such Person, whether through ownership of securities or partnership or other interests, by contract or otherwise, and (c) “Person” means an individual, corporation, partnership, limited liability company, joint venture, trust or unincorporated organization or a government or agency or political subdivision thereof.
INTENT TO COLLABORATE. 2.1 The Club agrees in principle to: - Allow The Company to submit or prepare a planning application on its behalf if required. - Cooperate fully in providing necessary authorizations and information. - Permit The Company to use The Club’s name, logo, and branding for marketing, in announcements, Press releases and on their coming soon website and Padel100 websites and social media. .
INTENT TO COLLABORATE. It is the intent of the Parties to jointly collaborate on the implementation of the Project.
INTENT TO COLLABORATE. The parties intend to collaborate after the Closing in connection with the development, manufacture and sale of products incorporating intellectual property of Seller existing as of the date hereof or developed hereafter. Without limiting the generality of the foregoing statement of intent, if, at any time after the Closing, Purchaser or any of its Affiliates shall make Seller aware of any opportunity for Seller to license or sublicense any intellectual property rights of Seller (or any of its Affiliates) relating to, or for use with respect to, oral delivery of any pharmaceutical products to any third party, Seller shall use good faith efforts to include Purchaser or appropriate Affiliates of Purchaser in negotiations relating to such arrangement. For purposes of clarity, Seller shall have no express obligation under this Section 7.11.3 to enable Purchaser or any of its Affiliates to participate economically in such opportunity or to cause any third party to enter into an agreement with Purchaser or any of its Affiliates.
INTENT TO COLLABORATE. Milcon and BCG intend to collaborate in providing --------------------- Prepaid Calling Services and Fixed Wire technology and hardware, Call Center systems and services, Fraud Protection and Roaming systems and any other services in the Phillipines which may be developed by BCG and its subsidiaries.

  • Exclusive Negotiations The State will not bargain collectively or meet with any employee organization other than MSEA-SEIU with reference to terms and conditions of employment of employees covered by this Agreement. If any such organizations request meetings they will be advised by the State to transmit their requests concerning terms and conditions of employment to MSEA-SEIU.

  • Collaboration activities 4.1 The Collaboration Suppliers will perform the Collaboration Activities and all other obligations of this Agreement in accordance with the Detailed Collaboration Plan. 4.2 The Collaboration Suppliers will provide all additional cooperation and assistance as is reasonably required by the Buyer to ensure the continuous delivery of the services under the Call-Off Contract. 4.3 The Collaboration Suppliers will ensure that their respective subcontractors provide all cooperation and assistance as set out in the Detailed Collaboration Plan.

  • Collaboration 31.1 If the Buyer has specified in the Order Form that it requires the Supplier to enter into a Collaboration Agreement, the Supplier must give the Buyer an executed Collaboration Agreement before the Start date. 31.2 In addition to any obligations under the Collaboration Agreement, the Supplier must: 31.2.1 work proactively and in good faith with each of the Buyer’s contractors 31.2.2 co-operate and share information with the Buyer’s contractors to enable the efficient operation of the Buyer’s ICT services and G-Cloud Services
