Interest Accrues on Amounts Owing. Except as otherwise provided herein to the contrary, any amount owing to a Party by another Party hereunder after Closing and remaining unpaid will bear interest at the rate per annum equal to the Prime Rate plus one percent (1%) per annum, from the day that the amount was due to be paid until the day it is paid, regardless of whether the Party has given the other Party or Parties, as applicable, prior notice of the accrual of interest hereunder.
