INTERPRETATION AND MATTERS AFFECTING AGREEMENT. 1.1 Entire Agreement: This Agreement, and any amendments to it made in accordance with this Agreement, constitutes the entire agreement between the Parties in respect of the subject matter hereof and supersedes all prior agreements, understandings, correspondence and documents of intent, if any such exist, respecting the scope of this Agreement and all other matters addressed hereunder.
