Common use of JSC Meetings Clause in Contracts

JSC Meetings. The JSC will hold meetings at such times and places as Ambrx and Institute may determine; provided, however, that the JSC will meet at least once every six months during the term of this Agreement. The meetings of the JSC need not be in person and may be by telephone or any other method determined by the JSC. Each Party will bear its own costs associated with attending such meetings; provided, however, that the costs associated with the unaffiliated JSC member shall be borne equally by Ambrx and Institute.

JSC Meetings. The JSC will shall hold meetings at such times and places as Ambrx and Institute may determine; provided, however, that the JSC will meet at least once every six months during the term of this Agreementmonths, and more frequently as necessity requires. The first JSC meeting shall be held at a mutually agreed venue and date following the Effective Date. Meetings of the JSC shall be effective only if at least one (1) representative of each Party is present or participating. The JSC may meet either (i) in person at either Party’s facilities, or (ii) by audio or video teleconference. Additional meetings of the JSC need not may also be in person and may be by telephone or any other method determined by held with the JSCconsent of each Party. Each Party will bear shall be responsible for all of its own costs associated expenses incurred in connection with attending such participating in the JSC meetings or any of the other committee meetings; provided, however, that the costs associated with the unaffiliated JSC member shall be borne equally by Ambrx and Institute.

JSC Meetings. The JSC will hold its first meeting within thirty (30) days of establishment of the JSC pursuant to Section 3.1. Thereafter, the JSC shall hold meetings at such times and places as Ambrx and Institute may determine; providedit elects to do so, however, that the JSC will meet at least but in no event shall such meetings be held less frequently than once every six months during the term of this Agreementper Calendar Year. The meetings of the JSC need not be in person and Meetings may be held in person, or by telephone audio or any other method determined video teleconference; provided that all in-person JSC meetings shall be held at locations mutually agreed upon by the JSCAura and Clearside. Each Party will bear shall be responsible for all of its own costs associated with attending such expenses of participating in JSC meetings; provided, however, that the costs associated with the unaffiliated JSC member shall be borne equally by Ambrx and Institute.
