Lead Engineering. Firm The member of the Proposer team, whether a single entity, joint venture or other consortium, primarily responsible for the design and engineering of the Project. The Lead Engineering Firm will be Developer’s engineering firm of record with primary responsibility for design work under the P3 Agreement. Lead O&M Firm The member of the Proposer team, whether a single entity, joint venture or other consortium, primarily responsible for operations and maintenance of the Project. Luminaire Supplier The member of the Proposer team that will primarily supply the luminaires used in the Project1. Major Non-Equity Member The following members of the Proposer team, if such team members are not Equity Members: (a) the Lead Engineering Firm (if a consortium, partnership or any other form of a joint venture, all such members); (b) the Lead Contractor (if a consortium, partnership or any other form of a joint venture, all such members); (c) any firm, other than the Lead Contractor, that will be responsible for 20% or more of the construction work on the Project; (d) the Luminaire Supplier; and (c) the Lead Operations and Maintenance (“O&M”) Firm (if a consortium, partnership or any other form of a joint venture, all such members). Official Representative The duly authorized official of the Equity Member or Major Non-Equity Member. Project The design, supply, construction/installation, financing, operations and maintenance of the proposed Phoenix Metropolitan Area Freeway Lighting Project.

The Lead Engineering Firm will be the Developer’s engineering firm of record with responsibility for design work under the Contract. Lead Maintenance Firm The member of the Developer or a subcontractor of the Developer, responsible for the maintenance of the portions of the Project for which the Developer is assigned maintenance responsibility under the Contract. Lead O&M Firm The member of the Developer or a subcontractor of the Developer, responsible for the operations and maintenance of the portions of the Project for which the Developer is assigned operations and maintenance responsibility under the Contract. To the extent the Developer contracts with two separate firms for the operations and maintenance components, respectively, of the Project that have been assigned to the Developer, references to Lead O&M Firm in this RFQ shall be construed to mean Lead Maintenance Firm or the Lead Operations Firm, or both, as applicable, depending on the context.

  • Reverse Engineering The Customer must not reverse assemble or reverse compile or directly or indirectly allow or cause a third party to reverse assemble or reverse compile the whole or any part of the software or any products supplied as a part of the Licensed System.

  • Engineering Forest Service completed survey and design for Specified Roads prior to timber sale advertisement, unless otherwise shown in A8 or Purchaser survey and design are specified in A7. On those roads for which Forest Service completes the design during the contract, the design quantities shall be used as the basis for revising estimated costs stated in the Schedule of Items and adjusting Timber Sale Account.   • Value Engineering The Supplier may prepare, at its own cost, a value engineering proposal at any time during the performance of the contract. The value engineering proposal shall, at a minimum, include the following; a) the proposed change(s), and a description of the difference to the existing contract requirements; b) a full cost/benefit analysis of the proposed change(s) including a description and estimate of costs (including life cycle costs) the Procuring Entity may incur in implementing the value engineering proposal; and c) a description of any effect(s) of the change on performance/functionality.

  • Architect/Engineer (A/E) means a person registered as an architect pursuant to Tex. Occ. Code ▇▇▇., Chapter 1051, as a landscape architect pursuant to Tex. Occ. Code ▇▇▇., Chapter 1052, a person licensed as a professional engineer pursuant to Tex. Occ. Code ▇▇▇., Chapter 1001 and/or a firm employed by Owner or a design-build contractor to provide professional architectural or engineering services and to exercise overall responsibility for the design of a Project or a significant portion thereof, and to perform the contract administration responsibilities set forth in the Contract.
