Of the Developer. The Developer agrees to each of the following: Create the Application as detailed in Exhibit A to this Agreement, and extend its best efforts to ensure that the design and functionality of the Application meets the Company’s specifications. Devote as much productive time, energy, and ability to the performance of its duties hereunder as may be necessary to provide the required Services in a timely and productive manner and to the timeframe specified in Exhibit A. Perform the Services in a workmanlike manner and with professional diligence and skill, as a fully-trained, skilled, competent, and experienced developer. On completion of the Application, assist the Company in installation of the Application to its final location, which assistance will include helping the Company with its upload of the finished files to the Company’s selected Web-hosting company and submitting for approval on the Apple Store. Provide all files and code to the Company. Communicate with the Company regarding progress it has made with respect to the milestones listed in Exhibit A in performing the Services upon an agreeable time each week.

Of the Developer. Developer represents and warrants that (i) Developer is a Missouri limited liability company duly organized, validly existing and in good standing under the laws of the State of Missouri (ii) Developer has the full and complete right, power and authority to enter into this Agreement and to perform its duties and obligations under this Agreement in accordance with the terms and conditions hereof; and (iii) the individual executing this Agreement on behalf of Developer is duly authorized and empowered to do so and by such execution, binds Developer under this Agreement.

Of the Developer. The Developer agrees to do each of the following: A. Create the Website as detailed in the Overview to this Agreement, and extend its best efforts to ensure that the content and design of the Website meets the Town’s needs. B. Devote as much productive time, energy, and ability to the performance of its duties hereunder as may be necessary to provide the required Services in a timely and productive manner. C. Design a Website “look and feel,” subject to the Town’s approval. D. Perform the Services in a workmanlike manner and with professional diligence and skill, using fully-trained, skilled, competent, and experienced personnel. E. On completion of the content and design, assist the Town in installation of the Website to its final location, which assistance will include helping the Town with its upload of the finished files to the Town’s selected web hosting company. F. Provide all HTML, CSS, JavaScript files and code to the Town. G. Provide Services and a Website that are satisfactory and acceptable to the Town and substantially free of defects. H. Register the Website’s domain name and pay any fees associated with these activities. I. Communicate with the Town regarding progress made with respect to the milestones listed in the Overview.

B. Devote as much productive time, energy, and ability to the performance of its duties hereunder as may be necessary to provide the required Services in a timely and productive manner and to the timeframe specified in app project outline. C. Perform the Services in a workmanlike manner and with professional diligence and skill, as a fully-trained, skilled, competent, and experienced personnel. D. On completion of the Application System, assist the Town in installation of the Application System to its final location, which assistance will include helping the Town with its upload of the finished files to the Developer’s selected web hosting company and submitting for approval on the Apple App Store and Google Play Marketplace. E. Provide all files and compiled code to the Town. F. Provide Services and an Application System that are satisfactory and acceptable to the Town and substantially free of defects. G. Communicate with the Town regarding progress it has made with respect to the milestones listed in app project outline in performing the Services upon an agreeable time on a regular basis.

The Company agrees to do each of the following: Engage the Developer as the creator of its Application System as further detailed in Exhibit A to this Agreement. Provide all assistance and cooperation to the Developer in order to complete the Application System timely and efficiently. Provide initial information, and supply all content for the Application System.

Provide Services and an Application System that are satisfactory and acceptable to the Client and free of defects. 6. Communicate and show with the Client regarding progress it has made with respect to the milestones listed in this agreement. 7. Operate and Maintain the Application System through hosting of games including customer Support 8. Assist the Client in identification and acquisition of corporate sponsors 9. Include internal messaging system whereas users can communicate with each other
