Lender Certificates. In the event a third party, such as a lender or subsequent purchaser of the Property, seeks assignment of any instruments of service prepared by ▇▇▇▇▇▇, or requests that ▇▇▇▇▇▇ make independent certifications in favor of such third party, then ▇▇▇▇▇▇, as a condition to such assignment or certification may require: (a) payment in full of all outstanding charges then due from Client, (b) reimbursement for all costs and fees incurred by ▇▇▇▇▇▇ (including attorney’s fees) in reviewing associated documents, (c) a reasonable administrative fee in an amount determined by ▇▇▇▇▇▇, (d) reasonable time to review any associated documents, but no less than seven (7) days, (e) ▇▇▇▇▇▇ may limit its certification to such third party to a statement confirming that all certifications made on the instruments of service, if any, remain true and correct and (f) any other assurances reasonably determined by ▇▇▇▇▇▇.
Lender Certificates. Any Lender claiming reimbursement or compensation pursuant to this Article shall deliver to Borrower (with a copy to Agent) a certificate setting forth in reasonable detail the amount payable to such Lender, and such certificate shall be conclusive and binding on Borrower in the absence of manifest error.
