Common use of LESSOR'S DOCUMENTARY CONDITIONS PRECEDENT Clause in Contracts

LESSOR'S DOCUMENTARY CONDITIONS PRECEDENT. The Lessor's obligation to lease the Aircraft to the Lessee under this Agreement is subject to the receipt of the following by the Lessor from the Lessee on or before Delivery in form and substance satisfactory to the Lessor, PROVIDED THAT it shall not be a condition precedent to the obligations of the Lessor that any document be produced, or action taken, which is to be produced or taken by it or any person within its control: (a) CONSTITUTIONAL DOCUMENTS: a copy of the constitutional documents of the Lessee; (b) RESOLUTIONS: a copy of a resolution of the board of directors of the Lessee approving the terms of, and the transactions contemplated by, this Agreement, resolving that it enter into this Agreement, and authorizing a specified person or persons to execute this Agreement and accept delivery of the Aircraft on its behalf;
