Common use of Liability and Release Clause in Contracts

Liability and Release. 12.1. In consideration of FP accepting an application for Membership and except to the extent caused by the negligence of FP, you hereby agree to: a. release and forever discharge FP to the fullest extent permitted by law from all claims that you may have or may have had but for this release arising from or in connection with your Membership or your access to or use of any Facility; b. indemnify and hold harmless FP and keep FP indemnified to the fullest extent permitted by law in respect of any claim by any person arising as a direct or indirect result of or in connection with your Membership. 12.2. For the purposes of this clause claims means and includes without limitation any actions, suit, proceeding, claim, demand, damage, penalty, cost or expense howsoever arising at any time.
