Liability for defects after Termination. The Concessionaire shall be responsible for all defects and deficiencies in the Project for a period of 120 (one hundred and twenty) days after Termination, and it shall have the obligation to repair or rectify, at its own cost, all defects and deficiencies observed by the Independent Engineer/ Maintenance Committee in the Project during the aforesaid period. In the event that the Concessionaire fails to repair or rectify such defect or deficiency within a period of 15 (fifteen) days from the date of notice issued by the Authority in this behalf, the Authority shall be entitled to get the same repaired or rectified at the Concessionaire's risk and cost so as to make the Project conform to the Maintenance Requirements. All costs incurred by the Authority hereunder shall be reimbursed by the Concessionaire to the Authority within 15 (fifteen) days of receipt of demand thereof, and in the event of default in reimbursing such costs, the Authority shall be entitled to recover the same from the Escrow Account or Performance Guarantee provided hereunder. For avoidance of doubt, the provisions of this Article 35 shall not apply if Termination occurs prior to COD of Bus Terminal.

For avoidance of doubt, the provisions of this Article 35 shall not apply if Termination occurs prior to Operations Period(s).

All costs incurred by Maha-Metro hereunder shall be reimbursed by the Concessionaire to Maha-Metro within 15 (fifteen) days of receipt of demand thereof, and in the event of default in reimbursing such costs, Maha-Metro shall be entitled to recover the same from Termination Payment payable to the Concessionaire.

In the event that the Concessionaire fails to repair or rectify such defect or deficiency within a period of 15 (fifteen) days from the date of notice issued by MOR in this behalf, MOR shall be entitled to get the same repaired or rectified at the Concessionaire‟s risk and cost so as to make the Rail System conform to the Maintenance Requirements. All costs incurred by MOR hereunder shall be reimbursed by the Concessionaire to MOR within 15 (fifteen) days of receipt of demand thereof, and in the event of default in reimbursing such costs, MOR shall be entitled to recover the same from the Escrow Account.

Liability for defects after Termination. The Contractor shall be responsible for all defects and deficiencies in the Project Infrastructure for a period of [120 (one hundred and twenty) days] after Termination, and it shall have the obligation to repair or rectify, at its own cost, all defects and deficiencies observed by the Project Management Agency in the Project Infrastructure during the aforesaid period. In the event that the Contractor fails to repair or rectify such defector deficiency within a period of [15 (fifteen) days] from the date of notice issued by the Authority in this behalf, the Authority shall be entitled to get the same repaired or rectified at the Contractor’s risk and cost so as to make the Project Infrastructure conform to the Maintenance Requirements. All costs incurred by the Authority hereunder shall be reimbursed by the Contractor to the Authority within [15 (fifteen) days] of receipt of demand thereof, and in the event of default in reimbursing such costs, the Authority shall be entitled to recover the same from the funds retained in the Escrow Account under the provisions of Article 32.2 or from the Performance Guarantee provided thereunder. For avoidance of doubt, the provisions of this Article 34 shall not apply if Termination occurs prior to [Project COD]

In the event that the Concessionaire fails to repair or rectify such defect or deficiency within a period of 15 (fifteen) days from the date of notice issued by the MCGM in this behalf, the MCGM shall be entitled to get the same repaired or rectified at the Concessionaire’s risk and cost so as to make the Project conform to the Maintenance Requirements. All costs incurred by the MCGM hereunder shall be reimbursed by the Concessionaire to the MCGM within 15 (fifteen) days of receipt of demand thereof, and in the event of default in reimbursing such costs, MCGM shall be entitled to recover the same from the funds retained in the Escrow Account under the provisions of Clause 18.11 or from the Performance Guarantee provided thereunder. For the avoidance of doubt, the provisions of this Article 18 shall not apply if Termination occurs prior to COD.
Liability for defects after Termination. The Concessionaire shall be responsible for all defects and deficiencies in the Project for a period (a) till the Concession Period in case the Termination by Efflux of Time; and (b) immediately succeeding 180 days from the date of issuance of Termination Notice by Authority / SSNNL / FED or Concessionaire (as the case may be) in case of Termination for Authority / SSNNL / FED Default or Concessionaire Default, and it shall have the obligation to repair or rectify, at its own cost, all defects and deficiencies observed by the Independent Engineer in the Project during the aforesaid period. In the event that the Concessionaire fails to repair or rectify such defect or deficiency within a period of 15 (fifteen) days from the date of notice issued by the Authority / SSNNL / FED in this behalf, the Authority / SSNNL / FED shall be entitled to get the same repaired or rectified at the Concessionaire’s risk and cost so as to make the Project conform to the Maintenance Requirements. All costs incurred by the Authority / SSNNL / FED hereunder shall be reimbursed by the Concessionaire to the Authority / SSNNL / FED within 15 (fifteen) days of receipt of demand thereof, and in the event of default in reimbursing such costs, the Authority / SSNNL / FED shall be entitled to recover the same from the Escrow Account.
Liability for defects after Termination. The Operator shall be responsible for all defects and deficiencies in the Project for a period of 60 (sixty) days after Termination, and it shall have the obligation to repair or rectify, at its own cost, all defects and deficiencies observed by the Handback Consultant in the Project during the aforesaid period. In the event that the Operator fails to repair or rectify such defect or deficiency within a period of 15 (fifteen) days from the date of notice issued by the SPV in this behalf, the SPV shall be entitled to get the same repaired or rectified at the Operator's risk and cost so as to make the Project conform to the Maintenance Manual and Safety Requirements. All costs incurred by the SPV hereunder shall be reimbursed by the Operator to the SPV within 15 (fifteen) days of receipt of demand thereof, and in the event of default in reimbursing such costs, the SPV shall be entitled to recover the same from the Escrow Account.
