Common use of Licensee Performance Obligations Clause in Contracts

Licensee Performance Obligations. 6.1 Licensee shall make reasonable efforts to provide Authorized Users with appropriate notice of the terms and conditions under which access to the Film Library and/or Course Collection is granted under this Agreement including, in particular, any limitations on access or use of the Film Library and/or Course Collection as set forth in this Agreement. 6.2 Licensee shall use reasonable efforts to protect the Film Library and/or Course Collection from any use that is not permitted under this Agreement. In the event of any unauthorized use of the Film Library and/or Course Collection by an Authorized User, Licensee shall terminate such Authorized User's access to the Film Library and/or Course Collection immediately. 6.3 Where access to the Film Library and/or Course Collection is to be controlled by use of passwords, Licensee shall issue log-on identification numbers and passwords to each Authorized User and use reasonable efforts to ensure that Authorized Users do not divulge their numbers and passwords to any third party. Licensee shall also maintain the confidentiality of any institutional passwords provided by Licensor. 6.4 Licensee grants the right to use its name/logo on Licensor's website, promotional and marketing materials
