Common use of Licensee Restrictions Clause in Contracts

Licensee Restrictions. Licensee agrees that it shall not, during the Term or thereafter, directly or indirectly: (a) take, omit to take, or permit any action which will or may dilute the Licensed Mark or tarnish or bring into disrepute the reputation of or goodwill associated with the Licensed Mark or Licensor, or which will or may invalidate or jeopardize any registration of the Licensed Mark; or (b) apply for, or obtain, or assist any Person in applying for or obtaining any registration of the Licensed Mark, or any trademark, service mark, trade name, or other indicia confusingly similar to the Licensed Mark in the Territory.

Licensee agrees that it shall not, not during the Term or thereafter, directly or indirectly: (a) take, omit to take, or permit any action which will or may dilute the Licensed Mark Marks or tarnish or bring into disrepute the reputation of or goodwill associated with the Licensed Mark Marks or Licensor, or which will or may invalidate or jeopardize any registration of the Licensed MarkMarks; or (b) apply for, or obtain, or assist any Person in applying for or obtaining any registration of the Licensed MarkMarks, or any trademark, service mark, trade name, or other indicia confusingly similar to the Licensed Mark Marks in the TerritoryTerritory or elsewhere.

Licensee Restrictions. Licensee agrees that it shall will not, during the Term or thereafter, directly or indirectly: (a) take: do, omit to takedo, or permit to be done, any action which act that (i) will or may dilute the Licensed Mark Marks or tarnish or bring into disrepute the reputation of or goodwill associated with the Licensed Mark Marks or LicensorBoard, or which (ii) will or may invalidate or jeopardize any registration of the Licensed MarkMarks; or or apply for or obtain (b) apply for, or obtain, or assist any Person in applying for or obtaining obtaining) any registration of the Licensed Mark, Marks or any trademark, service mark▇▇▇▇, trade name, name or other indicia confusingly similar to the Licensed Mark Marks in the Territory.
