Usage Restrictions. Usage Restrictions. Customer will be entitled to use Leased Goods solely in connection with the provided Services, in accordance with the Agreement, the applicable Documentation (including manufacturer’s documentation). Customer may not further lease, license, assign, rent, or otherwise make Leased Goods available for further use to a third party, unless expressly stated otherwise in an Order Form. Customer will not sell, resell, rent, license, sublicense, distribute, rent or lease any Leased Goods, or include any Leased Goods in a service bureau or outsourcing offering, Customer will not use Leased Goods to (a) store or transmit infringing, libelous, or otherwise unlawful or tortious material, (b) store or transmit material in violation of third-party privacy rights, (c) use Leased Goods to store or transmit Malicious Code.
Usage Restrictions. 5.1 The Services usage and functional limitations (“Usage Restrictions”) are determined in the Services Description and must be complied with to the fullest by Customer and considered when using the Services. Notwithstanding section 8.2, Customer waives any and all warranty and liability claims and remedies resulting due to Customer`s usage of the Services not being in compliance with the Usage Restrictions.

Subscriber agrees that it shall not, and shall not permit any Account User or Third Party accessing by, through or at Subscriber direction, or on its behalf to, directly or indirectly: (i) modify, copy, create derivative works or attempt to derive the source code of the Cloud Service; (ii) assign, sublicense, distribute or otherwise make available the Cloud Service, to any Third Party, including on a timesharing, software-as-a- service or other similar basis; (iii) share Access Credentials or otherwise allow access or use the Cloud Service to provide any service bureau services or any services on a similar basis; (iv) use the Cloud Service in a way not authorized in writing by Company or for any unlawful purpose; (v) use the Cloud Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of Third Party privacy rights; (vi) attempt to tamper with, alter, disable, override, or circumvent any security, reliability, integrity, accounting or other mechanism, restriction or requirement of the Cloud Service; (vii) remove, obscure or alter any copyright, trademark, patent or proprietary notice affixed or displayed by or in the Cloud Service; (viii) perform load tests, network scans, penetration tests, ethical hacks or any other security auditing procedures on the Cloud Service; (ix) interfere with or disrupt the integrity or performance of the Cloud Service or the data contained therein;(x) access or use the Cloud Service in order to replicate applications, products or services offered by Company and/or otherwise build a competitive product or service, copy any features, functions or graphics of the Cloud Service or monitor the availability and/or functionality of the Cloud Service for any benchmarking or competitive purposes; (xi) under any circumstances, through a Third Party application, a Subscriber application or otherwise, repackage or resell the Cloud Service, or any Company Content; (xii) store, manipulate, analyze, reformat, print, and display Company Content for personal use; and (xiii) upload or insert code, scripts, batch files or any other form of scripting or coding into the Cloud Service. Any use of the Services in breach of this Agreement, Documentation or Order Forms, by You or Users that in Our judgment threatens the security, integrity or availability of Our services, may result in Our immediate suspension of the Services, however We will use commercially reasonable efforts under the circumstances to provide You with notice and an opportunity to remedy such violation or threat prior to such suspension.
Usage Restrictions. The user hereby agrees that it shall not itself, nor through a third party:
4.1 copy (other than for backup, archival or disaster recovery purposes), reproduce, translate, adapt, vary, modify, lease, licence, sub-licence, encumber or in any other way deal with any part of the Sites for any reason and in any manner, unless it is consistent with the intent and purpose of these Terms;
4.2 decompile, disassemble or reverse engineer any portion of the Sites;
4.3 write and/or develop any derivative of the Sites or any other software program based on the Sites;
4.4 modify or enhance the Sites. In the event of a user effecting any modifications or enhancements to the Sites in breach of this clause, such modifications and enhancements shall be the property of the Company;
4.5 without the Company's prior written consent, provide, disclose, divulge or make available to or permit the use of or give access to the Sites by persons other than the user;
4.6 remove any identification, trademark, copyright or other notices from the Sites;
4.7 post or transmit, by means of reviews, comments, suggestions, ideas, questions or other information through the Sites, any content which is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, ob-scene, sexually- explicit, profane or hateful, or racially, ethnically or otherwise objectionable content of any kind; and/or
4.8 notwithstanding anything contained to the contrary in these Terms, use the Sites for any purpose other than personal, non-commercial and information purposes.

Usage Restrictions. Except as expressly permitted in Clause 2.1, the Licensee warrants that it will not, nor will it license or permit others to, directly or indirectly, without the Licensor's prior written consent:
(a) sell, distribute, license, rent or otherwise exploit the Licensed Material, or any element of it, for any commercial purpose;
(b) make the Licensed Material, or any element of it, available by any means to persons other than Authorized Users;
(c) make the Licensed Material, or any element of it, available on, or by, electronic bulletin boards, news groups, Web sites, FTP or any other means of posting or transmitting material on the Internet, an on-line service or wide area network;
(d) remove or obscure the Licensor's copyright notice from the Licensed Material including hard-copy print-outs;
(e) use the Licensed Material to create any derivative work, product or service, or merge the Licensed Material with any other product, database, or service;
(f) alter, amend, modify, translate, or change the Licensed Material;
(g) undertake any activity which may have a damaging effect on the Licensor's ability to achieve revenue through selling and marketing the Licensed Material;
(h) otherwise use the Licensed Material supplied in accordance with this Agreement in a manner that would infringe the copyright or other proprietary rights contained within it; or
(i) make the Licensed Material or any part of it available by remote access to any person other than Authorised Users
Usage Restrictions. Merchant will not, directly or indirectly: (a) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas or algorithms of the GivexPay Services; (b) modify, translate, or create derivative works based on the GivexPay Services; or copy, rent, lease, distribute, pledge, assign, or otherwise transfer or encumber rights to the GivexPay Services; (c) use or access the GivexPay Services to build or support, and/or assist a third-party in building or supporting any products or services; (d) remove or obscure any proprietary notices or labels from the GivexPay Services; (e) use the GivexPay Services for any fraudulent undertaking or in any manner that could damage, disable, overburden, impair or otherwise interfere with Givex's provisioning of the GivexPay Services (including but not limited to the use of automated systems or software (e.g. screen scraping) to extract data from the Givex Platform or other aspects of the GivexPay Services); (f) violate or breach any operating procedures, requirements or guidelines regarding Merchant’s use of the GivexPay Services that are posted on or through the Givex Platform or otherwise provided or made available to Merchant; (g) alter, distribute, license, resell, transfer, assign, rent, lease, timeshare or otherwise commercially exploit the GivexPay Services to any third-party or provide it as a service bureau; (h) conduct any penetration or vulnerability testing on the GivexPay Services, Givex Platform, or the Givex System; or (i) copy any features, functions, text or graphics of the GivexPay Services, including without limitation, the structure, sequence or organization of the Givex Platform.
Usage Restrictions. The purpose for usage of the equipment, the Services and support, and the Flock IP is solely to facilitate gathering evidence that could be used in a criminal investigation by the appropriate government agency and not for tracking activities that the system is not designed to capture (“Permitted Purpose”). Agency will not, and will not permit any Authorized End Users to, (i) copy or duplicate any of the Flock IP; (ii) decompile, disassemble, reverse engineer or otherwise attempt to obtain or perceive the source code from which any software component of any of the Flock IP is compiled or interpreted, or apply any other process or procedure to derive the source code of any software included in the Flock IP, or attempt to do any of the foregoing, and Agency acknowledges that nothing in this Agreement will be construed to grant Agency any right to obtain or use such source code; (iii) modify, alter, tamper with or repair any of the Flock IP, or create any derivative product from any of the foregoing, or attempt to do any of the foregoing, except with the prior written consent of Flock; (vi) interfere or attempt to interfere in any manner with the functionality or proper working of any of the Flock IP; (v) remove, obscure, or alter any notice of any intellectual property or proprietary right appearing on or contained within any of the Application IP; (vii) use the Flock Services for timesharing or service bureau purposes or otherwise for the benefit of a third party or any purpose other than the Purpose; (viii) use the Services, support, equipment and the Flock IP for anything other than the Permitted Purpose; or (ix) assign, sublicense, sell, resell, lease, rent or otherwise transfer or convey, or pledge as security or otherwise encumber, Agency’s rights under Sections 2.1, 2.2, or 2.3.
