Common use of Licensor Approval Clause in Contracts

Licensor Approval. Licensee shall provide written notice to Licensor of any impending Change of Control of Licensee or any sublicensee of Licensee as soon as the impending Change of Control can be legally disclosed. Withie fifteen days of the receipt of a written notice pursuant to this Provision, the Chief Executive Officer of each Party shall meet to discuss bhe impact of any proposed change of control upon the Agreement and to discuss the possible nature of the relationship with the combined entity and the Licensor may (at its option) terminate the Sublicense or require cfnfirmation in writing by the controlling entity of its performance of the obligations of the Licensee fully in accordance wijh this Agreement.
