Licensor Assignment Sample Clauses

Licensor Assignment. Licensor shall have the right to assign this Agreement upon written notice to the Rangers to any Person that acquires the Arena, provided the assignee agrees in writing to assume all of Licensor’s obligations under this Agreement.

Licensor Assignment. This Agreement may be assigned by Licensor upon written notice to Licensee but without any consent, provided, however, that any such assignment shall not release the Licensor from its obligations to the Licensee under this Agreement.

Licensor Assignment. Nothing in this Agreement limits LS&CO.'s ability to sell or otherwise transfer the Trademarks to a third party or to engage in any merger, consolidation, sale of assets, reorganization, sale of stock or other transaction. Licensor Assignment. With respect to any Licensor Technology owned by Licensor, (i) Licensor and its Affiliates have obtained from all employees and independent contractors who participated in the invention or authorship thereof, assignments of all ownership rights of such employees and independent contractors in such Licensor Technology, either as described in written agreement or by operation of law; (ii) all of its employees, officers, contractors, and consultants have executed agreements or have existing obligations under applicable law requiring assignment to Licensor or its Affiliates, as applicable, of all rights, title, and interests in and to inventions made during the course of and as the result of this Agreement; and (iii) no officer or employee of Licensor or its Affiliates is subject to any agreement with any other Third Party that requires such officer or employee to assign any interest in any Licensor Technology to any Third Party.

Licensor Assignment. Licensor may assign this License in its sole discretion; provided that Licensor shall provide notice of such assignment to Licensee.

Licensor Assignment. As of the Execution Date, Licensor or any of its Affiliates have secured from all employees, consultants, contractors and other Persons who have contributed to the Development, creation, conception or invention of any of the Licensor Patent Rights a written agreement assigning to Licensor or any of its Affiliates all rights to such Developments, creations, conceptions or inventions, or Licensor Patent Rights, and neither Licensor nor any of its Affiliates has received any written communication challenging Licensor’s ownership or right to the Licensor Patent Rights.

Licensor Assignment. The Licensor may assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any of its rights and obligations under this License.
