Lien Search Report. Results of completed UCC and tax and judgment lien searches and court searches for the jurisdictions of formation and chief executive office of the Borrower and Parent dated within two (2) weeks before the date of the Second Initial Advance that named the Borrower and Parent as debtor (none of which showed any of the Collateral subject to any Liens other than those created pursuant to the Transaction Documents (as defined in the Original Loan Agreement)).
Lien Search Report. Results of completed UCC and tax and judgment lien searches or their equivalent for the jurisdictions of formation and chief executive office of the Borrower, the Assignor, each Parent Pledgor and the Predecessor Parent Pledgor dated within two (2) weeks before the Amendment Closing Date that name the Borrower, the Assignor, each Parent Pledgor and the Predecessor Parent Pledgor as debtor (none of which shall show any of the Collateral or the Pledged Interests subject to any Liens other than those created pursuant to the Transaction Documents).
Lien Search Report. Results of completed UCC and tax and judgment lien searches and court searches for the jurisdictions of formation and chief executive office of the Borrower and the Third A&R Transferor dated within two (2) weeks before the Third A&R Closing Date that name either the Borrower or the Third A&R Transferor as debtor (none of which shall show any of the Collateral subject to any Liens other than those created pursuant to the Transaction Documents).
Lien Search Report. Seller shall have delivered at Closing a lien search report by a recognized reporting service with respect to UCC liens, judgment liens, tax liens, and other mortgages and encumbrances of record as filed in the pertinent city, county or State of Illinois, as the case may be, representing all the liens of record to which Seller's Assets are subject, which such report shall be dated no more than sixty (60) days preceding the date of Closing. Seller shall, within sixty (60) days after Closing and the application of the Purchase Price proceeds to the payment of secured creditors, deliver in connection therewith lien releases with respect to all of the liens so evidenced.

  • Lien Search Reports Lender shall have received satisfactory reports of UCC (collectively, the “UCC Searches”), tax lien, judgment and litigation searches and title updates conducted by the companies issuing the Title Insurance Policy with respect to the Collateral, Guarantor, Borrower and the Member, such searches to be conducted in each of the locations required by Lender.

  • Lien Search The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation, bankruptcy, tax and intellectual property matters), in form and substance reasonably satisfactory thereto, made against the Credit Parties under the Uniform Commercial Code (or applicable judicial docket) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code should be made to evidence or perfect security interests in all assets of such Credit Party, indicating among other things that the assets of each such Credit Party are free and clear of any Lien (except for Permitted Liens).

  • Lien Searches The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

  • Search Reports The Administrative Agent shall have received the results of UCC and other search reports from one or more commercial search firms acceptable to the Administrative Agent, listing all of the effective financing statements filed against any Credit Party, together with copies of such financing statements.

  • File Search Reports File search reports have been obtained from each Uniform Commercial Code filing office identified with respect to such Grantor in Section 2 hereof, and such search reports reflect no liens against any of the Collateral other than those permitted under the Credit Agreement.
