Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of relevant jurisdiction with respect to the jurisdictions where assets of the Loan Parties are locatedBorrower and its Subsidiaries, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 6.3 or liens to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent customary lien search in each of the jurisdictions where assets of the Loan Parties are locatedsearches, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties are locatedParties, and such search shall reveal no liens on any of the assets of the Loan Parties Party, except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent7.3.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties that were not Loan Parties on the Closing Date are located, and such search shall reveal no liens Liens on any of the assets of the such Loan Parties except for liens Liens permitted by Section 6.02 8.3 or discharged on or prior to the Acquisition Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions jurisdiction where assets of the Loan Parties are organized and where the assets constituting a material portion of the Collateral are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Eligible Unencumbered Assets except for liens permitted by Section 6.02 Permitted Encumbrances and Permitted Equipment Liens or Liens discharged or to be discharged on or prior to the Effective Date (or to secure Refinancing Mortgages) pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search or equivalent search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation (including required filings) satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search (1) in each of the jurisdictions jurisdiction where assets of the Loan Parties are locatedorganized and (2) in the jurisdiction of each such entity’s principal place of business, and such search searches shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 Permitted Liens or subject to satisfactory estoppel letters discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in the central filing office (and, to the extent requested by the Administrative Agent, the local filing offices) of each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Unencumbered Assets except for liens permitted by Section 6.02 6.2 or discharged or to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no material liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off payoff letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent customary lien search in each of the jurisdictions where assets of the Loan Parties are locatedsearches (including with respect to intellectual property), and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search with respect to each Loan Party in the jurisdiction where each of the jurisdictions where assets of the such Loan Parties are Party is located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 8.3 or discharged on substantially concurrently with or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties Borrower and Holdings are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or Holdings except for liens permitted by Section 6.02 7.3 or discharged or to be discharged on or prior to the Effective Funding Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the domestic jurisdictions where assets of the each Loan Parties Party are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 8.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties Borrower and its Restricted Subsidiaries are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or any Restricted Subsidiary except for liens permitted not prohibited by Section 6.02 this Agreement or Liens discharged on or prior to the Effective Closing Date or with respect to which are to be discharged pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where each Loan Party is incorporated or organized and where the jurisdictions where assets of the each such Loan Parties are Party is located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 of the Credit Agreement or discharged on or prior to the Amendment No. 2 Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.; and

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of reasonably requested by the Loan Parties are locatedAdministrative Agent, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are locatedorganized, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search lien, judgment and litigation searches in each of the jurisdictions jurisdiction where assets of the Loan Parties are located, a Credit Party is organized and such search searches shall reveal no liens Liens on any of the assets of the Loan Credit Parties except for liens permitted by Section 6.02 or Permitted Liens and Liens discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have has received the results of a recent lien search in the jurisdiction of organization of each of the jurisdictions where assets of the Loan Parties are locatedParty, and such search shall reveal reveals no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the any Loan Parties are Party is organized or where its chief executive office is located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions where assets of the Loan Parties are located, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in the jurisdiction where each of the jurisdictions where assets of the Loan Parties are located, Party is organized and such search shall reveal no liens Liens on any of the assets of the any Loan Parties Party or any assets being transferred to any Loan Party except for liens Liens permitted by Section 6.02 6.2 and under the Receivables Facility Transaction Documents, as applicable, or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each of Loan Party and each jurisdiction where the jurisdictions where assets chief executive offices of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 this Agreement or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 6.3 or liens to be discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentClosing Date.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets listed for each of the Loan Parties are locatedon Schedule 4.19, and such search shall reveal no liens on any of the assets of Holdings, the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and where the assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or for Liens which are discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search of the Borrowers and certain of the other material Loan Parties in each of the jurisdictions where assets of the such Loan Parties are located, and such search shall reveal no liens on any of the assets of the such Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets Uniform Commercial Code records of the Loan Parties are locatedeach jurisdiction and office identified on Schedule 3.15, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Other than with regard to the Netherlands jurisdiction, the Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search of the Borrowers, certain of the other material Loan Parties in each of the jurisdictions where assets of the such Loan Parties are located, and such search shall reveal no liens on any of the assets of the such Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and where the assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or subject to satisfactory estoppel letters discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of such jurisdictions as the jurisdictions where assets of the Loan Parties are locatedAdministrative Agent shall deem appropriate, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in the jurisdiction of organization of each of the jurisdictions Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off payoff letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the such jurisdictions where assets of the Loan Parties are locatedas it may have requested, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Amendment Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search searches in each of such locations as determined by the jurisdictions where assets of the Loan Parties are locatedAdministrative Agent, and such search shall reveal no liens Liens on any of the assets of the Loan Parties or Parent except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Restatement Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien lien, tax and judgment search in each of the jurisdictions and offices where assets of the Loan Parties are locatedlocated or recorded, and such search shall reveal no liens Liens on any of the assets of the Loan Parties Holdings or its Subsidiaries except for liens Liens permitted by Section 6.02 or discharged on or subsection 7.3 and Liens that will be removed prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentClosing Date.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties (other than the Dutch Loan Parties) are located, and such search report shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent Uniform Commercial Code lien search in each from the Secretary of State of the jurisdictions jurisdiction of organization of each Loan Party, the location of the principal balance of business of each Loan Party and each jurisdiction where material assets of the any Loan Parties Party are located, located and such search searches shall reveal no liens on any of the their respective assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions (in the United States and the Republic of Ireland) where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 7.2 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of relevant jurisdiction with respect to the jurisdictions where assets of the Loan Parties are locatedBorrower and its Subsidiaries, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 6.3 or liens to be discharged on or prior to the Amendment/Restatement Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.
