Common use of Lien Searches Clause in Contracts

Lien Searches. The Lender shall have received the results of a recent lien search in the jurisdiction of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Lender.

Lien Searches. The Lender shall have received the results of a recent lien search in each of the jurisdiction jurisdictions of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are locatedParties, and such search shall reveal no Liens liens on any of the assets of the any Loan Parties Party except for liens permitted by Section 6.02 7.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the LenderAdministrative Agent.

Lien Searches. The Lender shall have received the results of a recent lien search lien, tax, judgment and litigation searches in each of the jurisdiction of organization of each Loan Party and each jurisdiction jurisdictions where assets any of the Loan Parties are locatedis formed or organized and such other jurisdictions that it reasonably requests, and such search searches shall reveal no Liens liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or 7.2, and Liens to be discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the LenderClosing Date.

The Lender shall have received the results of a recent lien Lien search in the each jurisdiction of organization of where each Loan Party is organized and each jurisdiction to the extent requested by Lender, where the assets of the such Loan Parties Party are located, and such search shall reveal no Liens on any of the assets of the a Loan Parties Party except for liens permitted by Section 6.02 Permitted Liens or Liens to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Lender.

The Lender shall have received the results of a recent lien search in such jurisdictions as the jurisdiction of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are locatedLender shall deem appropriate, and such search shall reveal no Liens liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Lender.

The Lender Lenders shall have received the results of a recent lien search in each of the jurisdiction jurisdictions of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are locatedParties, and such search shall reveal no Liens liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 6.4 of the Guarantee and Pledge Agreement or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the LenderLenders.

The Lender shall have received the results of a recent lien search in each of the jurisdiction jurisdictions of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are locatedParties, and such search shall reveal no Liens liens on any of the assets of the any Loan Parties Party except for liens permitted by Section 6.02 7.02 or discharged on or prior to the Second Restatement Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the LenderAdministrative Agent.

The Lender shall have received the results of a recent lien search in each of the jurisdiction of organization of each Loan Party and each jurisdiction jurisdictions where assets of any Borrower Party are located and the Loan Parties are locatedBorrower Parties’ respective jurisdictions of organization and principal place of business, and such search searches shall reveal no Liens on any of the assets of the Loan Parties such Person except for liens permitted by Section 6.02 Permitted Liens or Liens to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Lender.

The Lender shall have received the results of a recent lien search in the jurisdiction of organization of each Loan Party and each jurisdiction where assets of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 of the Credit Agreement or discharged on or prior to the Third Amendment Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Lender.

The Lender Bank shall have received the results of a recent lien search in each of the jurisdiction of organization of each Loan Party and each jurisdiction jurisdictions where assets of the Loan Parties are located, and such search shall reveal no Liens liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 the Loan Documents or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the LenderBank.
