Liquidated Damages; Extension of Time Clause Samples

The "Liquidated Damages; Extension of Time" clause establishes predetermined financial penalties for delays in completing contractual obligations, while also outlining the conditions under which the deadline for performance may be extended. Typically, this clause specifies a fixed amount or formula for damages owed by a party if they fail to meet agreed timelines, and details valid reasons—such as force majeure events or changes in project scope—that may justify an extension. Its core function is to provide certainty regarding the consequences of delays and to fairly allocate risk between the parties, reducing disputes over actual damages and clarifying when schedule adjustments are permissible.
