Liquidating Trustee. Upon dissolution of the Partnership, unless the business of the Partnership is continued pursuant to Section 12.2, the Board of Directors shall select one or more Persons to act as Liquidating Trustee. Except as expressly provided in this Article XII, the Liquidating Trustee approved in the manner provided herein shall have and may exercise, without further authorization or consent payment of any of the parties heretoaforementioned contingencies and, all at the expiration of such period as the liquidating trustee shall deem advisable, to distribute the balance thereafter remaining in the manner hereinafter provided; (iii) to the repayment of any advances that may have been made by any of the powers conferred upon Members to the Board LLC, but if the amount available for such repayment shall be insufficient, then pro rata in accordance with the amounts of Directors such advances; (iv) to the Members in accordance with their positive Capital Accounts; and (v) to the Members in accordance with their respective LLC Percentage Interests.
