Neither the entering into nor the delivery of, and neither the consummation of the transactions contemplated in nor compliance with the terms, conditions and provisions of, the Loan Documents by any Restricted Party conflicts with or will conflict with, or results or will result in any breach of, or constitutes a default under or contravention of, (a) any Requirement of Law applicable to it except where such conflict, breach, default, or contravention would not, individually or in the aggregate, constitute, or be reasonably likely to result in, a Material Adverse Change; (b) the Organizational Documents of the Group Members, (c) any Material Contract or Material License to which it is a party, or (d) results or will result in the creation or imposition of any Encumbrance upon any of its Property other than the Security.
