MAINTENANCE, OPERATION, HANDLING, STORAGE AND TRANSPORT. 4.3.1 The Contractor shall be responsible for the maintenance, operation, handling and transport (including customs clearance, import/export licences and/or permits) of all hardware, software and documentation including Customer furnished property covered by this Contract until the launch of MTG-S2 satellite carrying the last Instrument covered by this contract (assumed to be FM2 Instrument), and subsequent return of all items for disposal or storage in accordance with ASG’s instruction referred to in Article 9.4. The Contractor shall be responsible for the storage of his Ground Support Equipment (GSE), as described in Appendix C hereto, until the CRR of MTG-S2 carrying the last Instrument. In the event of storage, the risk for damage shall lie with the Contractor, as custodian, as per the duration of the storage. 4.3.2 The Contractor shall maintain and store until launch of the MTG-S satellite carrying the last Instrument covered by this contract any equipment and software required for fault diagnosis and repair of items covered by this Contract.

MAINTENANCE, OPERATION, HANDLING, STORAGE AND TRANSPORT. 4.3.1 The Contractor shall be responsible for the maintenance, operation, handling, storage and transport (including customs clearance, import/export licences and/or permits) of all hardware, software and documentation including TAS-F furnished property covered by this Contract until physical delivery of the items to TAS-F as foreseen in Article 4 above as applicable and subsequent return of all items for disposal or storage in accordance with TAS-F’s instruction referred to in article 9.4 (applicable for spare flight models for example). The Contractor shall provide on request by TAS-F storage facilities for the recurrent Contract Items and maintain these items during storage period as appropriate, on terms no more onerous for TAS-F than those on which similar work is undertaken under the terms of the present Contract. 4.3.2 If the Contractor fails to meet the Flight Contract Items Acceptance Review date that will have been agreed between the Parties, and that as a result, the storage for MTG-I-1 and MTG-S-1 or the delta storage for the Recurrent Satellites and of all Contract Items become necessary until the next available launch opportunity(ies) the Contractor shall be responsible and liable for such relevant Flight Contract Item storage or delta storage and de-storage. . 4.3.3 The Contractor shall maintain and store until launch of the last Satellite any equipment and software required for fault diagnosis and repair of the Contract Items covered by this Contract. 4.3.4 Following the launch of the last Satellite, the Contractor shall dispose of all items acquired under the Contract in accordance with TAS-F's instruction. 4.3.5 Any insurance which may be taken by the Contractor to cover his liabilities hereunder explicitly for this Contract shall include a provision of non-recourse against TAS-F, the Agency or its/their agents, with the exception of wilful act. The Contractor shall indemnify TAS-F and consequently the Agency and hold TAS-F as well as the Agency harmless against all consequences derived from his failure to include such a provision.

  • DELIVERY, STORAGE, AND HANDLING The Contractor shall be responsible to inspect all components on delivery to ensure that no damage occurred during shipping or handling for furnish and installation projects. For equipment only purchases, the ordering entity shall be responsible to inspect all components on delivery. Materials must be stored in original undamaged packaging in such a manner to ensure proper ventilation and drainage, and to protect against damage, weather, vandalism, and theft until ready for installation.

  • Quality Management System Supplier hereby undertakes, warrants and confirms, and will ensue same for its subcontractors, to remain certified in accordance with ISO 9001 standard or equivalent. At any time during the term of this Agreement, the Supplier shall, if so instructed by ISR, provide evidence of such certifications. In any event, Supplier must notify ISR, in writing, in the event said certification is suspended and/or canceled and/or not continued.

  • TOOL STORAGE 1. A company shall provide on all construction jobs in towns and cities, and elsewhere where reasonably necessary and practicable (or if requested buy the employee), a suitable and secure waterproof lock-up solely for the purpose of storing employees’ tools, and on multi-storey and major projects the company shall provide, where possible, a suitable lock-up for employees’ tools within a reasonable distance of the work area of large groups of employees. 2. Where an employee is absent from work because of illness or accident and has advised the company in accordance with Clause 33 – Personal Leave of the award, the company shall ensure that the employee’s tools are securely stored during his/her absence.

  • Transport Services Upon the conclusion of such multilateral negotiations, the Parties shall conduct a review for the purpose of discussing appropriate amendments to this Agreement so as to incorporate the results of such multilateral negotiations.

  • Installation, Maintenance, Testing and Repair Unless otherwise agreed in writing by the Parties, to the extent required by Applicable Law, Interconnection provided by a Party shall be equal in quality to that provided by such Party to itself, any subsidiary, affiliates or third party. If either Party is unable to fulfill its obligations under this Section 14.2, it shall notify the other Party of its inability to do so and will negotiate alternative intervals in good faith. The Parties agree that to the extent required by Applicable Law, the standards to be used by a Party for isolating and clearing any disconnections and/or other outages or troubles shall be at parity with standards used by such Party with respect to itself, any subsidiary, affiliate or third party.
