Majority of Board. An evaluation shall be deemed to be “satisfactory” if a majority of Board members have rated the Executive Director/CEO’s performance as satisfactory in individual evaluations prepared by such Board members. The minority opinion will not be included in the final evaluation.
Majority of Board. Notwithstanding anything to the contrary in this Schedule 7.1, Waterton or its Permitted Transferee shall be entitled, for as long they hold with their Permitted Transferees more than fifty percent (50%) of the outstanding Units, to designate not less than a majority of the Board Managers.
Majority of Board. Commencing on the next business day following Escrow Closing (as defined in the Operating Agreement), the number of Governors serving the Company on the Board of Governors shall be eleven (11) and, provided that the subscription contemplated by Section 4(a) has been made and fully paid for, the Investor shall be entitled to appoint six (6) of the Governors to the Board of Governors. The Investor shall thereafter have the right to appoint at least a majority of Governors to the Board of Governors as long as it owns a majority of the Units, subject to any subsequent amendments to the Operating Agreement.
Majority of Board. An evaluation shall be deemed to be “satisfactory” if the written evaluation approved by a majority of Board members have rated the Superintendent’s performance as satisfactory.

  • Authority of Board Nothing contained in this Section 4 shall limit the authority of the Board to take such other action to the extent permitted by law as it deems necessary or advisable to preserve the Company’s status as a non-reporting company under the Exchange Act.
