Materials Ownership Clause Samples

The Materials Ownership clause establishes who holds the rights to materials, documents, or deliverables produced during the course of a project or contractual relationship. Typically, this clause specifies whether ownership of these materials remains with the creator (such as a contractor or vendor) or is transferred to the client or commissioning party upon completion or payment. For example, it may clarify that all reports, designs, or software developed under the agreement become the exclusive property of the client. The core function of this clause is to prevent disputes over intellectual property and ensure that both parties understand who has the legal right to use, modify, or distribute the materials created under the contract.
