Mediation of Unresolved Disputes. Sears and SHO shall in good faith attempt to resolve all Unresolved Disputes by non-binding mediation. Sears and SHO shall negotiate in good faith to determine the mediator, the mediator’s compensation and related costs, and the applicable rules for the mediation. If by the 15th day following the Resolution Failure Date Sears and SHO have been unable to settle an Unresolved Dispute the obligations of Sears and SHO in this Section 17 shall end with respect to the Unresolved Dispute.
