Common use of Memorandum and Articles of Association Clause in Contracts

Memorandum and Articles of Association. At the Effective Time, the memorandum of association of the Company, as in effect immediately prior to the Effective Time, shall be the memorandum of association of the Surviving Company, until duly amended as provided therein, herein and by Applicable Law. At the Effective Time, the articles of association of Merger Sub, as in effect immediately prior to the Effective Time, shall be the articles of association of the Surviving Company, except that references to the name of Merger Sub shall be replaced by references to the name of the Surviving Company, until duly amended as provided therein, herein and by Applicable Law.

Memorandum and Articles of Association. (a) At the Effective Time, the Articles of Association of the Company, as in effect immediately prior to the Effective Time, shall be the Articles of Association of the Surviving Company, until duly amended as provided therein, herein and by applicable Law. (b) Unless otherwise determined by Parent prior to the Effective Time, the memorandum of association of the Company, as in effect immediately prior to the Effective Time, shall be the memorandum of association of the Surviving Company, Company until duly thereafter amended as provided therein, herein and therein or by Applicable Law. At the Effective Time, the articles of association of Merger Sub, as in effect immediately prior to the Effective Time, shall be the articles of association of the Surviving Company, except that references to the name of Merger Sub shall be replaced by references to the name of the Surviving Company, until duly amended as provided therein, herein and by Applicable applicable Law.

At the Effective Time, the memorandum and articles of association of the CompanyMerger Subsidiary, as in effect immediately prior to the Effective Time, shall be the memorandum of association of the Surviving Company, until duly amended as provided therein, herein and by Applicable Law. At the Effective Time, the articles of association of Merger Sub, as in effect immediately prior to the Effective Time, shall be the articles of association of the Surviving CompanyCompany until thereafter amended as provided by Applicable Law and such memorandum and articles of association; provided, except that references to however, that, at the name Effective Time, Article I of Merger Sub the memorandum of association of the Surviving Company shall be replaced by references amended to the read as follows: “The name of the Surviving Company, until duly amended as provided therein, herein and by Applicable Lawcorporation is Montage Technology Group Limited”.

Memorandum and Articles of Association. At the Effective Time, (a) the memorandum of association of the Company, as in effect immediately prior to the Effective Time, shall be the memorandum of association of the Surviving Company, until such memorandum of association is thereafter duly changed or amended as provided thereintherein or by applicable Law, herein and by Applicable Law. At the Effective Time, (b) without derogating from Section 6.4(b) the articles of association of Merger Sub, as in effect immediately prior to the Effective Time, shall be the articles of association of the Surviving Company, except that references to the name until such articles of Merger Sub shall be replaced by references to the name of the Surviving Company, until association are thereafter duly changed or amended as provided therein, herein and therein or by Applicable applicable Law.
