Merchant of Record. With respect to all Payments, CML will act as merchant of record; provided that, for the avoidance of doubt, you acknowledge and agree that CML is only a provider of technology and services for the facilitation of Electronic Payments and is not the actual merchant who is accepting payment for the transaction of business with consumers. As merchant of record, CML will manage the process regarding disputed Payments, but you and the applicable driver will be solely responsible for chargebacks and any related fees or charges unless such chargeback is solely a result of a failure of CML’s Payment Systems. If any Payment is reversed or charged back, or CML does not receive payment for such Payment, then CML shall be entitled to reverse any payment of related Transaction Proceeds.
Merchant of Record. (a) During the Term, except as set forth in Sections 14.1(b), (c) and (d), eBay shall not declare itself as the Merchant of Record for transactions between users effected through any service or offering available on (i) an eBay Covered Property (excluding transactions that are excluded from the definition of eBay Addressable GMV) or (ii) any third party payments platform where the value of such transactions is included in the definition of eBay Addressable GMV (with all references in such definition to “eBay” being deemed to refer to such third party payments platform). Notwithstanding the foregoing, if and to the extent that eBay is the owner of inventory sold on an eBay Covered Property and takes financial responsibility for all full and partial returns and any chargebacks initiated by the customer (a “First Party Transaction”), eBay may elect to declare itself as the Merchant of Record solely with respect to such First Party Transaction.
(b) If PayPal provides payment processing services to a Competitive Platform Operator as a Merchant of Record for third party merchant transactions effected by or on such Competitive Platform Operator’s platform, eBay shall also be permitted to become a Merchant of Record for transactions effected by eBay Merchants on eBay Covered Properties, and the Parties shall cooperate in good faith to mutually develop a transition plan and adjustment to the Product Development Plan to enable eBay to become a Merchant of Record as described in this Section 14.1(b).
(c) Upon the consummation of a Specified Change of Control, eBay may elect to become a Merchant of Record (without triggering the termination of this Agreement or any related arrangements) by delivering a written notice to PayPal at any time beginning at the effective date of such Specified Change of Control and ending ninety (90) days thereafter, with such Merchant of Record election to become effective on a date, specified by eBay in such written notice, that is no less than fifteen (15) months nor greater than twenty-one (21) months following the consummation of such Specified Change of Control.

2. Under both options, all orders are delivered automatically by Herbalife to the customer from the Herbalife warehouse:
a. Distributor as MOR (PayPal Payments). To exercise this option, you will need to change the default settings by visiting the Payment Settings section and changing the settings to “PayPal Payments”. Under this option you are the MOR (Merchant of Record) i.e. the legal seller of Herbalife products to customers. Consequently, you are responsible for matters such as processing payments, handling sales taxes, and dealing with complaints, returns, refunds and chargebacks. Under this model you may use PayPal for handling payments. PayPal integrates into your Herbalife One site and allows you to accept payments for internet sales to your customers. PayPal enables you to split the sales proceeds between you, as an Independent Herbalife Distributor, and Herbalife. This means that when a customer places and pays for an order on your Herbalife One site, PayPal will credit your Business Account with the difference between the retail price to your customer and your wholesale price at which you purchased from Herbalife and will credit ▇▇▇▇▇▇▇▇▇’s PayPal Account with the remainder of the funds. You will be responsible for any processing fees of PayPal and for taxes and shipping costs. In order for PayPal to provide you with this service, you must already have a PayPal Business Account.
