Common use of Metering Devices Clause in Contracts

Metering Devices. Grass Valley may use technology-based metering devices, passive restraints, and logging tools and software to (a) monitor and regulate usage of the SaaS Services, and (b) to aid in providing support and diagnosing defects in the SaaS Services or temporarily restrict usage until Fees have been paid in full. Managed Service Provider acknowledges that such passive restraints, metering devices and logging tools are a reasonable method to ensure compliance with the License and have been factored into the License, Fees and this Agreement as a whole. Managed Service Provider agrees that Managed Service Provider will not circumvent, override, or otherwise bypass such metering devices, passive restraints or logging tools that monitor or regulate the Use of the SaaS Services.
