Metering of Delivery Clause Samples

The 'Metering of Delivery' clause defines how the quantity of goods, services, or energy delivered under a contract will be measured and recorded. Typically, this clause specifies the type of metering equipment to be used, the party responsible for installation and maintenance, and the procedures for reading and verifying meter data. For example, in an energy supply agreement, it may require the use of certified meters and regular reporting of consumption data. Metering of Delivery. Seller shall measure the amount of Energy supplied to Buyer at the Point of Delivery using a commercially available revenue grade metering system. Such meter shall be installed and maintained at Seller's cost. Buyer shall cooperate with Seller to enable Seller to have reasonable access to the meter as needed to inspect, repair and maintain such meter.

The meter shall be kept under seal, such seal to be broken only when the meter is to be tested, adjusted, modified, or relocated. In the event that either Party breaks a seal, such Party shall notify the other Party as soon as practicable. All Meters shall be installed consistent with all requirements and good practices specified by the Utility and the regional transmission operator, ISO New England.

If only a physical meter at the Point of Delivery is installed, Seller shall read the meter approximately quarterly. If telemetry allowing remote reading is installed, Seller shall provide Buyer a monthly summary of Energy delivery for information purposes only.

At Seller’s option, the meter may have standard industry telemetry and/or automated meter reading capabilities to allow Seller to read the meter remotely. If Seller elects to install telemetry allowing for remote reading, Purchaser shall allow for the installation of necessary communication lines in a mutually agreeable location (which may be underground) and shall reasonably cooperate in providing access for such installation. The meter shall be kept under seal, such seal to be broken only when the meter is to be tested, adjusted, modified, or relocated. In the event that either Party breaks a seal, such Party shall notify the other Party as soon as practicable.

  • Point of Delivery The point of interconnection between NEPOOL Pool Transmission Facilities and the transmission facilities of the Local Distributor.

  • Manner of Delivery All notices communications and other materials to be given or delivered under the Loan Papers shall, except in those cases where giving notice by telephone is expressly permitted, be given or delivered in writing. All written notices, communications and materials shall be sent by registered or certified mail, postage prepaid, return receipt requested, by telecopier, or delivered by hand. In the event of a discrepancy between any telephonic notice and any written confirmation thereof, such written confirmation shall be deemed the effective notice except to the extent Administrative Agent, any Lender or the Borrower has acted in reliance on such telephonic notice.

  • Time of Delivery Any notice delivered personally or by fax during normal business hours at an address specified above shall be deemed to be received the same Business Day, and any notice sent by mail or otherwise will be deemed to be received on the following Business Day. Any Party shall be entitled to change its address for notice to an address elsewhere in Alberta by notice in writing to the other Parties.

  • Terms of Delivery The Terms of Delivery are contained in the General Conditions of Contract (GCC) and Special Conditions of Contract.

  • DATE OF DELIVERY OF PUT NOTICE A Put Notice shall be deemed delivered on (i) the Trading Day it is received by facsimile or otherwise by Investor if such notice is received on or prior to 12:00 noon New York time, or (ii) the immediately succeeding Trading Day if it is received by facsimile or otherwise after 12:00 noon New York time on a Trading Day or at anytime on a day which is not a Trading Day.
