Minimum Subscription Clause Samples

Minimum Subscription. This Agreement may be cancelled, without any remedy to the Subscriber, in the event that the minimum subscription level of $1,000,000 is not achieved within one year of qualification of the Company's Offering Circular.

Minimum Subscription. The minimum subscription amount per Investor is 19,456 shares of Common Stock (for $150,000), which minimum requirement amount may be waived by the Company in its sole discretion upon request.

Minimum Subscription. 8.1 The Offering is subject to a minimum subscription of 1,000,000 Shares. 8.2 All funds received by the Agent for subscription will be held in trust by the Agent or placed in trust with the Issuer's registrar and transfer agent until the minimum subscription has been obtained. 8.3 Notwithstanding any other term of this Agreement, all subscription funds received by the Agent will be returned to the subscribers if the minimum subscription is not obtained by 5:00 p.m. on the Offering Day. 8.4 Notwithstanding any other term of this Agreement, the Agent's Commission and Corporate Finance Fee will not be paid to the Agent if the minimum subscription is not obtained by 5:00 p.m. on the Offering Day.

Minimum Subscription. A minimum of $50,000 of Units must be purchased by the Purchaser, unless a lower amount is agreed to by the Company and the Placement Agent, in their sole discretion.

Minimum Subscription. The Company shall have received from the Purchasers not less than $1,500,000 in immediately available funds for the purchase of the Purchased Shares and Warrants in accordance with the terms of this Agreement.

Minimum Subscription. The minimum initial subscription and the minimum additional subscription for Units per Unitholder in respect of each Sub-Fund are set out in Annex A.

Minimum Subscription. 4.1 The Offering is subject to a minimum subscription of 3,500,000 Shares (the “Minimum Subscription”). 4.2 All funds received by the Agent for subscriptions will be held in trust by the Agent until the Minimum Subscription has been obtained. 4.3 Notwithstanding any other term of this Agreement, all subscription funds received by the Agent will be returned to the subscribers without interest or deduction if the Minimum Subscription is not obtained by 5:00 p.m. on the Offering Day unless the subscribers have otherwise instructed the Agent.

Minimum Subscription. We will provide ECM Services by use of the selected ECM Product for the minimum number of users specified in the Order Form. You may exceed this minimum number subject to paying the additional charges set out in the Order Form, or if no additional charges are specified, at Our prevailing rates for excess use. You may at any time increase the number of minimum users having access to the ECM Services by requesting a change in the number of authorised user licences by placing an additional order.
