Subscription Fee Sample Clauses

Subscription Fee. Customer shall pay to Service Provider in consideration for Service Provider providing the Services, the subscription fee as agreed upon in the Order Form.

Subscription Fee. A. General trust: The subscription handling charge shall be paid in full following signing of the Agreement or at a later date depending on the lifespan of the product pursuant to the rules of the Agent and the fund managing company/relevant issuing institution. B. Regular-interval fixed-amount (variable-amount) trust: Following signing of the Agreement, a percentage of the trust amount shall be paid monthly pursuant to the rules of the Agent and the fund managing company/relevant issuing institution.

Subscription Fee. The Subscriber acknowledges and agrees that the Company may charge a subscription fee of up to 5% of the amount subscribed and to pay such charge to certain intermediaries as described in the Offering Memorandum. The net amount of any subscription will then be applied in subscribing for Shares.

Subscription Fee. 3.1 Unless otherwise specified in an Offering Document, the Subscription Fee is payable by the Subscriber in full, annually in advance, in accordance with the payment terms set forth in the General Terms. Unless otherwise specified in this Agreement, all payments are non-refundable. Subscription Licenses may not be returned or exchanged. 3.2 The parties agree that Cohesive may increase the License Fee once per Subscription Term, provided that (i) Cohesive provides Subscriber written notice of such increase at least ninety (90) days prior to the end of the then current Subscription Term, and such price increase shall become effective on commencement of the next renewal term.

Subscription Fee. (i) “ZMCL’s share of MRP” will be equal to the “MRP of A-▇▇-▇▇▇▇▇ / MRP of Bouquet of Pay ZMCL Channel(s)” per month less of “Distribution Margin”. (ii) For each month or part thereof during the Term of the Agreement, the DPO/ OPERATOR shall pay to ZMCL, “Subscription Fee” to be calculated as ZMCL’s Share of MRP multiplied by Monthly Average Active Subscriber Level of the A-▇▇-▇▇▇▇▇ Channel or Bouquet as applicable reported by the DPO/ OPERATOR for that particular month. (iii) The Maximum Retail Price (MRP) per subscriber per month of ZMCL Channels availed on A- ▇▇-▇▇▇▇▇ basis is set out in ANNEXURE II and the MRP of Bouquet of pay ZMCL Channels is set out in ANNEXURE III to this Agreement. The MRP mentioned in the ANNEXURE II & ANNEXURE III to this Agreement, as referred to above, are exclusive of all taxes and levies. (iv) The “Monthly Average Active Subscriber Level” for each channel or bouquet shall be equal to the average of the number of active subscribers subscribing that A-▇▇-▇▇▇▇▇ channel or bouquet, as the case may be, recorded four times in a month, as provided in Table – 1 and Table – 2 of ANNEXURE VI respectively. The number of subscribers shall be recorded at any point of time between 19:00 Hrs to 23:00 Hrs. on the designated days. (v) For the purpose of calculation of the Subscription Fee payable “Subscriber” means, for any calendar month, each Set Top Box, which is availing the ZMCL Channel(s) and/or bouquet of ZMCL Channels through the DPO/ OPERATOR.

Subscription Fee. Customer will pay a single, annual, or monthly Subscription Fee set out in the Annex. The Supplier is entitled to adjust the amounts of the Subscription Fee at the beginning of each calendar year to take account of cost developments. Any such adjustments must be communicated in writing or per e-mail at least four months before they come into effect.

Subscription Fee. 3.1. The relevant Subscription Fee must be paid before access to the Product is granted.

Subscription Fee. The initial twelve (12) month subscription fee is $599 (“Subscription Fee’), which shall be due on execution of this Agreement. Thereafter, Customer shall make once-yearly payment of the prevailing annual Subscription Fee, to be paid every twelve months on the anniversary date of this Agreement, unless either party timely notifies the other party of its intent not to renew this Agreement in accordance with Section 5.

Subscription Fee. Client may access the Service on an all-access subscription basis for the term described in the applicable Order Form (“Subscription Period”) commencing on the start date, subject to Client's payment of the specified fee. Except as otherwise described by the Order Form, the Service will automatically renew for an additional term equal in length to the expiring subscription term at RippleMatch's then-current prices unless either party gives the other written notice of non-renewal at least 30 days prior to the current Subscription Period's end date. Client will also be able to renew subscription early by confirming their desire to renew for an additional term equal in length to the expiring subscription term at RippleMatch’s then current prices in writing. RippleMatch will invoice Client on or before 30 days prior to the end date of the current Subscription Period. Subscription Fees are not refundable in the event of termination before the end of the Subscription Period.
