The Monthly Verification clause requires parties to regularly confirm or validate certain information, actions, or deliverables on a monthly basis. Typically, this involves one party submitting reports, data, or attestations each month, which the other party then reviews for accuracy and compliance with the agreement. By establishing a routine schedule for verification, this clause helps ensure ongoing transparency, accountability, and early detection of issues throughout the contract term.
Monthly Verification. The End User’s scope of deployment and use of the Software shall be verified and reconciled as of the last day of each month (“Monthly Verification”). In order to facilitate the Monthly Verification, End User grants to Sandvine the right to verify End User’s actual scope of deployment and use of the Software by either: a) installing license manager software in End User’s private network configured to allow the communication of a monthly report to Sandvine detailing the actual scope of deployment and use of the Software by the End User, or b) allowing Sandvine to install license manager software in a network environment where Sandvine has direct access to End User’s private network in order to generate a monthly report that is accessible to Sandvine detailing the actual scope of deployment and use of the Software by the End User. If End User’s internal security practices prohibit such access to their private network, End User shall provide Sandvine, on a quarterly basis, with a written report certified by an officer of End User using the format and specifying the information as requested by Sandvine from time to time (“Self Reporting”).
Monthly Verification. For Cloud Software, End User’s scope of deployment and use of Cloud Software shall be verified and reconciled as of the last day of each month. The verification shall be based on the 95th percentile of daily activated sites measured over the month (“Monthly Verification”). In order to facilitate the Monthly Verification, End User grants to Sandvine the right to verify End User’s use of the Cloud Software by either: (I) installing license manager software in End User’s private network configured to allow the emailing of a monthly report detailing the scope of deployment and use of the Cloud Software, including the maximum number of Sites activated and/or Provisioned Cloud Subscribers at any particular time, or (II) allowing Sandvine to install license manager software in a network environment where Sandvine has direct access to End User’s private network in order to generate a monthly report detailing the scope of deployment and use of the Cloud Software, including the maximum number of Sites activated and/or Provisioned Cloud Subscribers at any particular time. If End User’s internal security practices prohibit such access to their private network, End User shall provide Sandvine, on a quarterly basis, with a written certification from an officer of End User certifying the maximum number of Site and/or Provisioned Cloud Subscribers that were active during the quarter on a month by month basis (“Self Reporting”).

In order to facilitate the Monthly Verification, End User grants to AppLogic Networks the right to verify End User’s actual scope of deployment and use of the Software by either: a) installing license manager software in End User’s private network configured to allow the communication of a monthly report to AppLogic Networks detailing the actual scope of deployment and use of the Software by the End User, or b) allowing AppLogic Networks to install license manager software in a network environment where AppLogic Networks has direct access to End User’s private network in order to generate a monthly report that is accessible to AppLogic Networks detailing the actual scope of deployment and use of the Software by the End User. If End User’s internal security practices prohibit such access to their private network, End User shall provide AppLogic Networks, on a quarterly basis, with a written report certified by an officer of End User using the format and specifying the information as requested by AppLogic Networks from time to time (“Self Reporting”).

  • E-VERIFICATION The Vendor represents and warrants that it will ensure its compliance with the Mississippi Employment Protection Act of 2008, and will register and participate in the status verification system for all newly hired employees. Mississippi Code Annotated §§71-11-1 et seq. The term “employee” as used herein means any person that is hired to perform work within the State of Mississippi. As used herein, “status verification system” means the Illegal Immigration Reform and Immigration Responsibility Act of 1996 that is operated by the United States Department of Homeland Security, also known as the E-Verify Program, or any other successor electronic verification system replacing the E-Verify Program. Vendor agrees to maintain records of such compliance. Upon request of the State and after approval of the Social Security Administration or Department of Homeland Security when required, Vendor agrees to provide a copy of each such verification. Vendor further represents and warrants that any person assigned to perform services hereafter meets the employment eligibility requirements of all immigration laws. The breach of this agreement may subject Vendor to the following: termination of this contract for goods or services and ineligibility for any state or public contract in Mississippi for up to three (3) years with notice of such cancellation/termination being made public; the loss of any license, permit, certification, or other document granted to Vendor by an agency, department or governmental entity for the right to do business in Mississippi for up to one (1) year; or,

  • Account Verification Whether or not a Default or Event of Default exists, Agent shall have the right at any time, in the name of Agent, any designee of Agent or any Borrower, to verify the validity, amount or any other matter relating to any Accounts of Borrowers by mail, telephone or otherwise. Borrowers shall cooperate fully with Agent in an effort to facilitate and promptly conclude any such verification process.

  • Eligibility Verification (a) HHSC will verify Medicaid eligibility for Dual Eligible Members by the fifth business day of the month following the receipt of the MA Dual SNP’s monthly enrollment file, in accordance with Section 3.02(b). (b) To verify Medicaid eligibility of an individual Member, HHSC agrees to provide the MA Dual SNP with real-time access to HHSC’s claims administrator’s Medicaid eligibility verification system.

  • Identity Verification In the case that the Subscriber provides telecommunication services to any Subscriber’s Customers pursuant to Section 8.1, the Subscriber is responsible for performing and shall perform personal identification of Subscriber’s Customer. SORACOM shall not bear any responsibility in relation to dealing with such matters.

  • Third Party Verification 4.8.1 The SPD shall be further required to provide entry to the site of the Power Project (from which power under this Agreement is being made available) free of all encumbrances at all times during the Term of the Agreement to SECI and a third Party nominated by any Indian Governmental Instrumentality for inspection and verification of the works being carried out by the SPD at the site of the Power Project. The SPD shall provide full support to SECI and/or the third party in this regard. 4.8.2 The third party may verify the construction works/operation of the Project being carried out by the SPD and if it is found that the construction works/operation of the Power Project is not as per the Prudent Utility Practices, it may seek clarifications from SPD or require the works to be stopped or to comply with the instructions of such third party.
