Common use of Mutual change Clause in Contracts

Mutual change. ‌ (a) Subject to clause 11.1, this agreement may only be changed by further agreement in writing between the us and you and be accepted by either by signature of both parties, or a written notice of offer and a written notice of acceptance. (b) If we wish to change our Milk Supply Conditions (other than under clause 11.1), we will notify you and discuss whether, and the terms and conditions on which, you are willing to supply Milk in accordance with our request (if at all). You agree to act reasonably and in good faith during such discussions on any reasonable change requested by us. Any agreed changes to our Milk Supply Conditions, and the terms and conditions applying to such changes, must be made in writing. Generally, a minimum notice period of 3 months will apply, unless the required agreed change is considered by us (acting reasonably) to be business critical in which circumstance a shorter notice period may be proposed (but in any event we will provide as much prior notice as reasonably possible).
