Any Governmental Authority shall have (i) condemned, nationalized, seized, or otherwise expropriated all or any substantial part of the property, shares of capital stock or equity or other assets of Borrower or any Investment Manager or shall have assumed custody or control of such property or other assets or of the business or operations of Borrower or any Investment Manager or shall have taken any action that would prevent any such entity from carrying on its business or a substantial part thereof or (ii) announced that it will do any other foregoing;
