NATURE AND SCOPE. 4.1 This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider will arrange for the supply/provision to Transnet of the Goods/Services which meet the requirements and specifications of Transnet, the delivery of which is controlled by means of Purchase Orders to be issued by Transnet and executed by the Supplier/Service Provider in accordance with this Agreement. 4.2 Such Purchase Orders and deliveries to Transnet shall be agreed between the Parties from time to time, subject to the terms of the Schedule of Requirements/Work Order. 4.3 Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 During the period of this Agreement, both Parties can make written suggestions for amendments to the Schedule of Requirements/Work Orders in accordance with procedures set out in clause 35 [Amendment and Change Control]. A Party will advise the other Party within 14 [fourteen] Business Days, or such other period as mutually agreed, whether the amendment is acceptable. 4.5 Insofar as any term, provision or condition in the Schedule of Requirements/Work Order conflicts with a like term, provision or condition in this Agreement and/or a Purchase Order, the term or provision or condition in this Master Agreement shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 Time will be of the essence and the Supplier/Service Provider will perform its obligations under this Agreement in accordance with the timeframe(s) [if any] set out in the relevant schedule, save that the Supplier/Service Provider will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet and it has used its best endeavours to advise Transnet of such act or omission. In the event of such delay, any time deadlines detailed in the relevant schedule shall be extended by a period equal to the period of that delay.

NATURE AND SCOPE. 4.1 This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider will arrange for the supply/provision to Transnet of the Goods/Services which meet the requirements and specifications of Transnet, the delivery of which is controlled by means of Purchase Orders to be issued by Transnet and executed by the Supplier/Service Provider in accordance with this Agreement. 4.2 Such Purchase Orders and deliveries to Transnet shall be agreed between the Parties from time to time, subject to the terms of the Schedule of Requirements/Work Order. 4.3 Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 During the period of this Agreement, both Parties can make written suggestions for amendments to the Schedule of Requirements/Work Orders in accordance with procedures set out in clause 35 41 [Amendment and Change Control]. A Party will advise the other Party within 14 [fourteen] Business Days, or such other period as mutually agreed, whether the amendment is acceptable. 4.5 Insofar as any term, provision or condition in the Schedule of Requirements/Work Order conflicts with a like term, provision or condition in this Agreement and/or a Purchase Order, the term or provision or condition in this Master Agreement shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 Time will be of the essence and the Supplier/Service Provider will perform its obligations under this Agreement in accordance with the timeframe(s) [if any] set out in the relevant schedule, save that the Supplier/Service Provider will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet and it has used its best endeavours to advise Transnet of such act or omission. In the event of such delay, any time deadlines detailed in the relevant schedule shall be extended by a period equal to the period of that delay.

A Party will advise the other Party within 14 [fourteen] Business Days, or such other period as mutually agreed, whether the amendment is acceptable. 4.5 Insofar as any term, provision or condition in the Schedule of Requirements/Work Order Requirements conflicts with a like term, provision or condition in this Agreement and/or a Purchase Order, the term or provision or condition in this Master Agreement shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 Time will be of the essence and the Supplier/Service Provider Supplier will perform its obligations under this Agreement in accordance with the timeframe(s) [if any] set out in the relevant schedule, save that the Supplier/Service Provider Supplier will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet and it has used its best endeavours to advise Transnet of such act or omission. NATURE AND SCOPE. 4.1 This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider will arrange for the supply/provision to Transnet TNPA of the Goods/Services which meet the requirements and specifications of TransnetTNPA, the delivery of which Services is controlled by means of Purchase Orders to be issued by Transnet TNPA and executed by the Supplier/Service Provider Provider, in accordance with this Agreement. 4.2 Such Purchase Orders and deliveries to Transnet shall be agreed between the Parties from time to time, subject to the terms of the Schedule of Requirements/relevant Work OrderOrder(s). 4.3 Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 During the period of this Agreement, both Parties can make written suggestions for amendments to the Schedule of Requirements/Work Orders Order(s), in accordance with procedures set out in clause 35 30 [Amendment and Change Control]] below. A Party will advise the other Party within 14 [fourteen] Business Days, or such other period as mutually agreed, whether the amendment is acceptable. 4.5 Insofar as any term, provision or condition in the Schedule of Requirements/Work Order Order(s) conflicts with a like term, provision or condition in this Agreement and/or a Purchase Order, or where this Agreement is silent on the term or matter, the term, provision or condition in this Master Agreement shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 Time will be of the essence and the Supplier/Service Provider will perform its obligations under this Agreement in accordance with the timeframe(s) [if any] set out in the relevant schedule, save that the Supplier/Service Provider will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet TNPA and it has used its best endeavours to advise Transnet TNPA of such act or omission. In the event of such delay, any time deadlines detailed in the relevant schedule shall be extended by a period equal to the period of that delay.

Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 . During the period of this Agreement, both Parties can make written suggestions for amendments to the Schedule of Requirements/Work Orders in accordance with procedures set out in clause 35 0 [Amendment and Change Control]. A Party will advise the other Party within 14 [fourteen] Business Days, or such other period as mutually agreed, whether the amendment is acceptable. 4.5 . Insofar as any term, provision or condition in the Schedule of Requirements/Work Order conflicts with a like term, provision or condition in this Agreement and/or a Purchase Order, the term or provision or condition in this Master Agreement shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 . Time will be of the essence and the Supplier/Service Provider will perform its obligations under this Agreement in accordance with the timeframe(s) [if any] set out in the relevant schedule, save that the Supplier/Service Provider will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet and it has used its best endeavours to advise Transnet of such act or omission. In the event of such delay, any time deadlines detailed in the relevant schedule shall be extended by a period equal to the period of that delay.

This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider Contractor will arrange for the supply/provision to Transnet purchase and removal of the Goods/Services which meet Goods in compliance with the requirements and specifications provisions of TransnetTPT, the delivery execution of which is controlled by means of Purchase Orders to be invoice issued by Transnet and executed TPT on collection of the Goods by the Supplier/Service Provider Contractor, in accordance with this Agreement. 4.2 4.2. Such Purchase Orders and deliveries to Transnet Collection Advice(s) shall be agreed between the Parties from time to time, endorsed by both Parties. 4.3. The Goods are sold subject to all conditions mentioned or referred to in this Agreement and in the terms condition and to the extent such as they now lay voetstoots and absolutely as they stand. The Contractor acknowledges that it is fully acquainted with the Goods, their nature, condition and locality, and with the conditions recorded in this Agreement in respect of the Schedule Goods. TPT does not undertake tp supply any quantity of Requirements/Work Orderthe goods, nor shall TPT be under any obligation or liability in the event of none being available at any time. TPT shall at its sole discretion determine the quantity of goods to be sold to the Contractor. The Contractor shall accept such quantities that may become available from the various sites of TPT. 4.3 Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 4.4. During the period of this the Agreement, both Parties parties can make written suggestions for amendments to the Schedule of Schedules or Requirements/Work Orders , in accordance with procedures set out in clause 35 [Amendment and Change Control]Clause 26 (AMENDMENT OF CHANGE CONTROL) below. In the event of such delay, any time deadlines detailed in the relevant schedule shall be extended by a period equal to the period of that delay. 4.7 Transnet will be issuing Request for Quotations (RFQs) when the need raise, only Suppliers on the approved list will be requested to compete on price and B-BBEE evaluation. The pricing schedule(s) will be issued with the individual upcoming RFP/RFQ upon the establishment of the approved list and the applicable preference point system will be utilised as indicated in Section 8 of the RFP. 4.8 An RFQ will be issued to all service providers on the Panel, with specifications on the type of network equipment required, where the preferred bidder will be awarded the business. Pricing will be for the provision and installation for specific configurations of NEC equipment. The Work Breakdown Structure for each project will be as follows: 1. Procure equipment, cabinets and cables. Buys equipment and material 2. Install equipment and link it to the existing fibre network, do testing and Go live. Implement network and do network testing 3. Acceptance Testing, Network handover and Close Out and Post Implementation review. Signoff and track benefits

A Party will advise the other Party within 14 [fourteen] Business Days, or such other period as mutually agreed, whether the amendment is acceptable. 4.5 Insofar as any term, provision or condition in the Schedule of Requirements/Work Order conflicts with a like term, provision or condition in this Agreement and/or a Purchase Order, the term or provision or condition in this Master Agreement shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 Time will be of the essence and the Supplier/Service Provider will perform its obligations under this Agreement in accordance with the timeframe(s) [if any] set out in the relevant schedule, save that the Supplier/Service Provider will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet and it has used its best endeavours to advise Transnet of such act or omission. In the event of such delay, any time deadlines detailed in the relevant schedule shall be extended by a period equal to the period of that delay.

NATURE AND SCOPE. 4.1 This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider will arrange for the supply/provision to Transnet of the Goods/Services which meet the requirements and specifications of Transnet, the delivery of which is controlled by means of Purchase Orders to be issued by Transnet and executed by the Supplier/Service Provider in accordance with this Agreement. 4.2 Such Purchase Orders and deliveries to Transnet shall be agreed between the Parties from time to time, subject to the terms of the Schedule of Requirements/Work Order. 4.3 . Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 4.3 During the period of this Agreement, both Parties can make written suggestions for amendments to the Schedule of Requirements/Work Orders in accordance with procedures set out in clause 35 37 [Amendment and Change Control]. NATURE AND SCOPE. 4.1 The Terminal Operator, once appointed to the approved list of Terminal Operators, will be invited to compete for the appointment, as and when the need arises for the TNPA to make such an appointment by way of a Request for Quotation. The Terminal Operator acknowledges that the conclusion of this agreement will not automatically entitle it to such an appointment and TNPA is, for the avoidance of doubt not obliged to make such appointment. 4.2 This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider Terminal Operator will arrange for the supply/provision to Transnet of the Goods/Services which meet the requirements and specifications of Transnet, the delivery of which is controlled by means of Purchase Orders to be issued by Transnet and executed by the Supplier/Service Provider Terminal Operator in accordance with this Agreement. 4.2 4.3 Such Purchase Orders and deliveries to Transnet shall be agreed between the Parties from time to time, subject to the terms of the Schedule of Requirements/Work Order. 4.3 4.4 Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 4.5 During the period of this Agreement, both Parties can make written suggestions for amendments to the Schedule of Requirements/Work Orders Requirements in accordance with procedures set out in clause 35 38 [Amendment and Change Control]. NATURE AND SCOPE. 4.1 4.1. This Agreement is an agreement under the terms and conditions of which the Supplier/Service Provider Contractor will arrange for the supply/provision to Transnet purchase and removal of the Goods/Services which meet Goods in compliance with the requirements and specifications provisions of TransnetTPT, the delivery execution of which is controlled by means of Purchase Orders to be invoice issued by Transnet and executed TPT on collection of the Goods by the Supplier/Service Provider Contractor, in accordance with this Agreement. 4.2 4.2. Such Purchase Orders and deliveries to Transnet Collection Advice(s) shall be agreed between the Parties from time to time, endorsed by both Parties. 4.3. The Goods are sold subject to all conditions mentioned or referred to in this Agreement and in the terms condition and to the extent such as they now lay voetstoots and absolutely as they stand. The Contractor acknowledges that it is fully acquainted with the Goods, their nature, condition and locality, and with the conditions recorded in this Agreement in respect of the Schedule Goods. TPT does not undertake to supply any quantity of Requirements/Work Orderthe goods, nor shall TPT be under any obligation or liability in the event of none being available at any time. TPT shall at its sole discretion determine the quantity of goods to be sold to the Contractor. The Contractor shall accept such quantities that may become available from the various sites of TPT. 4.3 Each properly executed Purchase Order forms an inseparable part of this Agreement as if it were fully incorporated into the body of this Agreement. 4.4 4.4. During the period of this the Agreement, both Parties parties can make written suggestions for amendments to the Schedule of Schedules or Requirements/Work Orders , in accordance with procedures set out in clause 35 [Amendment and Change Control]Clause 26 (AMENDMENT OF CHANGE CONTROL) below. A Party party will advise the other Party within 14 [fourteen] fourteen (14) Business Days, or any other such other period as mutually agreed, whether the amendment is acceptable. 4.5 4.5. Insofar as any term, provision or condition in the offer to purchase(s), Schedule of Requirements/Work Order 1 conflicts with a like term, provision or condition in this Agreement and/or a Purchase Orderor where this Agreement is silent on the matter, the term or term, provision or condition in this Master Agreement the offer to purchase(s) shall prevail, unless such term or provision or condition in this Master Agreement has been specifically revoked or amended by mutual written agreement between the Parties. 4.6 4.6. Time will be of the essence and the Supplier/Service Provider Contractor will perform its obligations under this Agreement in accordance with the timeframe(s) [(if any] ) set out in the relevant schedule, save that the Supplier/Service Provider Contractor will not be liable under this clause if it is unable to meet such obligation within the time required as a direct result of any act or omission by Transnet TPT and it has used its best endeavours endeavors to advise Transnet TPT of such act or omission.
