Necessary Authorisations Clause Samples
The Necessary Authorisations clause requires each party to confirm that they have obtained all required permissions, consents, or approvals needed to enter into and perform their obligations under the agreement. This typically includes regulatory approvals, internal corporate authorisations, or third-party consents relevant to the transaction. By including this clause, the agreement ensures that all parties are legally empowered to proceed, reducing the risk of future disputes or invalidity due to lack of proper authorisation.
Necessary Authorisations. The Necessary Authorisations required by each Security Party are in full force and effect, and each Security Party is in compliance with the material provisions of each such Necessary Authorisation relating to it and, to the best of its knowledge, none of the Necessary Authorisations relating to it are the subject of any pending or threatened proceedings or revocation.
Necessary Authorisations. (a) The Necessary Authorisations required by it are in full force and effect;
(b) it is in compliance with the material provisions of each Necessary Authorisation relating to it; and
(c) to the best of its knowledge, none of the Necessary Authorisations relating to it are the subject of any pending or threatened proceedings or revocation; in each case, except where any failure to maintain such Necessary Authorisations in full force and effect, any non-compliance or any proceedings or revocation could not reasonably be expected to have a Material Adverse Effect and subject to the Reservations.

The Necessary Authorisations required by it, are in full force and effect, and it is in compliance with the material provisions of each such Necessary Authorisation relating to it and, to the best of its knowledge, none of the Necessary Authorisations relating to it are the subject of any pending or threatened proceedings or revocation.

Without prejudice to any specific provision of the Facility Documents relating to an Authorisation, the Borrower shall (i) obtain, comply with and do all that is necessary to maintain in full force and effect all Necessary Authorisations if a failure to do the same may cause a Material Adverse Effect; and (ii) promptly upon request, supply certified copies to the Facility Agent of all Necessary Authorisations.
Necessary Authorisations. The Parent and each Obligor shall (and the Company shall procure that each member of the Bank Group shall):
(a) obtain, comply with and do all that is necessary to maintain in full force and effect all Necessary Authorisations, except where a failure to do so could not reasonably be expected to have a Material Adverse Effect; and
(b) promptly upon request of the Facility Agent, supply certified copies to the Facility Agent of any such Necessary Authorisations so requested.
Necessary Authorisations. A copy of any Necessary Authorisation as is in, the reasonable opinion of counsel to the Lenders necessary to render the Relevant Finance Documents to which the relevant Acceding Group Company, is or is to be party legal, valid, binding and enforceable, to make the Relevant Finance Documents to which the relevant Acceding Group Company is or is to be party admissible in evidence in such Acceding Group Company’s jurisdiction of incorporation and (if different) in England and to enable such Acceding Group Company to perform its obligations thereunder, as a matter of law save, in the case of any Acceding Guarantor or Acceding Borrower, for any registrations or recordings required for the perfection of the Security Documents and subject to the Reservations (to the extent applicable).
Necessary Authorisations. Each Obligor shall (and the Parent shall procure that each member of the Group shall) obtain, comply with and do all that is necessary to maintain in full force and effect all Necessary Authorisations.
Necessary Authorisations obtain or cause to be obtained every Necessary Authorisation and ensure that (i) none of the Necessary Authorisations is revoked, cancelled, suspended, withdrawn, terminated, expires and is not renewed or otherwise ceases to be in full force and effect and (ii) no Necessary Authorisation is modified and no TCN Entity commits any breach of the terms or conditions of any Necessary Authorisation which, in the case of any of the actions or events referred to in either (i) or (ii), would or is reasonably likely, in the opinion of the Agent, to have a Material Adverse Effect;

Necessary Authorisations subject to the provisions of clause 3.6, each member of the Group has obtained all material Necessary Authorisations, all such Necessary Authorisations are in full force and effect and each member of the Group is in compliance in all material respects with all provisions thereof. To the best of its knowledge and belief, none of the Necessary Authorisations are the subject of any actual, pending or threatened attack or revocation that would reasonably be likely to have a Material Adverse Effect;
