No Action/Proceeding. No action or proceeding before a court or any other governmental agency or body will have been instituted or threatened to restrain or prohibit the transactions hereunder contemplated, and no governmental agency or body or other entity will have taken any other action or made any request of CHAD, ▇▇G, any of the Members or any the CCSI Companies as a result of which CHAD, ▇▇G or any of the Members reasonably and in good fait▇ ▇▇▇▇ ▇▇▇t to proceed with the transactions hereunder may constitute a violation of law, rule, or regulation, or any judicial, administrative or regulatory order.
