No Action to Prevent Completion. On or before the Closing Date, there shall not have been instituted and be continuing any action or proceeding by or before any court or governmental body to restrain, prohibit or invalidate, or to obtain damages in respect of, the transactions contemplated by this Agreement (nor shall any such action or proceeding have been threatened), and there shall not have been issued a preliminary or permanent injunction or other order, decree or ruling by a court of competent jurisdiction or by a governmental, regulatory or administrative agency or commission nor promulgated any statutes, rule, regulation or executive order by any governmental authority which would restrain, prohibit or invalidate the transactions contemplated by this Agreement.
