No Approvals Required. with the exception of the Consents and Approvals set forth in the Disclosure Schedule, no authorization, approval, order, license permit or consent of any Government Entity nor the registration, declaration or filing by the Vendor with any such Government Entity is required in order for the Vendor (i) to execute and deliver this Agreement or any other agreement, certificate or instrument to be executed or delivered by the Vendor pursuant to or contemplated by this Agreement, (ii) to incur the obligations expressed to be incurred by the Vendor pursuant to this Agreement, or (iii) to duly perform and observe the terms and provisions of this Agreement,
